Payment Terms
01
Fees shown upfront
Clients pay a Studio Splitz Service Fee that is shown before they pay. It is not a card fee and not part of the session price.
02
Payouts for new studios
For a studio's first 60 days or first 10 completed paid sessions, whichever lasts longer, payouts are sent 7 days after each session.
03
Studio cancellations
If a studio, its engineer or Studio Splitz cancels a paid session, the client is refunded in full.
These Payment Terms explain how money moves on Studio Splitz. They are written first for studio owners, who are our customers: what you pay for your plan, how your clients pay for sessions, how fees work, when you and your engineers are paid, and who pays for refunds and chargebacks. Engineers and clients each have their own shorter part (Part B for engineers, Part C for clients). These Payment Terms are part of our Terms of Service. Please read them together with our Cancellation and Refund Policy and Privacy Policy.
1. About these Payment Terms
1.1 Who we are. Studio Splitz is operated by CTRL Music Platforms LLC, an Illinois limited liability company. Mailing address: 1 E Erie Street, Suite 525-2860, Chicago, IL 60611. In these terms, "Studio Splitz", "we", "us" and "our" mean CTRL Music Platforms LLC. Studio Splitz includes studiosplitz.com, app.studiosplitz.com, each studio's site at its own studiosplitz.com address, and the Studio Splitz apps for iOS and Android.
1.2 Who these terms are for. These terms apply to studio owners, to engineers who work sessions for a studio, and to clients who book and pay for sessions.
1.3 Which sections apply to you.
- Everyone: Sections 1 to 3 and Part D (Sections 13 to 19).
- Studio owners: Part A (Sections 4 to 10).
- Engineers: Section 5 and Part B (Section 11). Section 11 says where a rule in Part A also applies to engineers.
- Clients: Part C (Section 12).
1.4 How you accept these terms.
- Studio owners and engineers accept these Payment Terms, together with our Terms of Service, when they sign up, accept an invitation or are asked to accept a new version. The Terms of Service and these Payment Terms are shown in scroll boxes, each must be scrolled to the end, and then you tick an unticked box confirming that you are 18 or older (or the age of majority where you live), that you agree to the Terms of Service and these Payment Terms, and that you have read the Privacy Policy. You cannot use your dashboard until you have done so.
- Clients accept at checkout, and when they create an account, by ticking an unticked box confirming that they are 18 or older (or the age of majority where they live), or a parent or legal guardian booking for a minor using their own account, and that they agree to the Terms of Service and the Cancellation and Refund Policy. These Payment Terms are part of the Terms of Service, so a client who agrees to the Terms of Service also agrees to them. Payment emails remind clients that paying for a session means agreeing to the Terms of Service, these Payment Terms and the Cancellation and Refund Policy. Studio Splitz does not open a checkout for a booking, deposit or balance until the client has ticked the box for the current versions.
- Records. Each time you accept, we keep a record of who accepted, the documents and versions accepted, how you accepted (scroll and checkbox, or checkbox), where (for example the web, the phone app, an invitation or checkout), the booking if you accepted at checkout, the date and time, and the IP address and browser or device type used. We never overwrite an earlier record.
- New versions. When we publish a new version of the Terms of Service or these Payment Terms, studio owners and engineers are asked to accept it, in the same way, on their next visit. When we publish a new version of the Terms of Service or the Cancellation and Refund Policy, clients are asked to accept it at their next checkout. Section 18 explains when a new version takes effect. Section 1.6 of the Terms of Service lists the payout, refund funding, reversal and Stripe account rules in these terms that apply to every account, for payments made on or after the date this version takes effect, even before you accept it.
- If you use Studio Splitz for a business, you accept these terms for that business and confirm that you are authorized to do so. A Studio Splitz staff member viewing your account cannot accept terms or pay for you.
1.5 How these terms fit with our other documents. The Terms of Service govern your use of Studio Splitz in general, including how disputes with us are resolved. These Payment Terms govern payments. The Cancellation and Refund Policy explains when a cancelled session is refunded; these Payment Terms explain how refunds are funded. If these Payment Terms and the Terms of Service conflict on a payment matter, these Payment Terms control. Stripe's own agreements govern the services Stripe provides to you (Section 5).
1.6 Electronic records and notices. We provide receipts, invoices, payment notices and these terms electronically, by email, in your dashboard or on our site. Keep your email address up to date so these reach you. Some payment emails are always sent, whatever your email settings: sign-in and security emails, clients' booking and payment emails about their own bookings (including approvals, changes, cancellations and refunds), notices to studios about disputes, amounts a studio owes and charges to its card, and notices to studios and engineers about payout reversals. Tax forms are handled separately (Section 14.4).
2. Key terms
In these Payment Terms (capitalized terms not defined here have the meanings given in our Terms of Service):
- Studio means the recording studio, rehearsal space or similar music or audio production business that holds a studio account on Studio Splitz, acting through its studio owner and anyone the studio owner authorizes. The studio owner is the person who holds the studio's account. In Part A, "you" means the studio, and in Section 5 it means the studio owner and each engineer who holds a Stripe connected account through Studio Splitz.
- Engineer means a person a studio has invited to work sessions through Studio Splitz. Some screens call engineers "contributors". The lead engineer is the engineer a session is booked with.
- Client has the meaning given in our Terms of Service. A person who only pays for a session that someone else booked is not a client because of that payment alone. A refund still goes back to the original payment method.
- Session price means the price of a session, set by the studio's rates or by a custom price, before the Service Fee.
- Payment means each amount a client pays toward a booking, such as a deposit, a full payment, a balance, or the extra cost of a change.
- Service Fee means the fee Studio Splitz charges clients, for its own account, on each payment for a session, for use of the Studio Splitz booking and payment service (Section 6.7). It is not a card fee or a payment processing fee.
- Platform fee means the fee Studio Splitz charges a studio on each client payment under the studio's plan (Section 6.6). It is kept from the payment before payout.
- Payout means a transfer from Studio Splitz to a studio's or engineer's Stripe account.
- Split settings means the studio's settings that decide how the money from a session is divided between the studio and its engineers.
- Studio balance means the record in the studio's dashboard of amounts the studio owes Studio Splitz and any credit Studio Splitz holds for the studio.
- New studio period has the meaning in Section 7.4.
- Stripe means Stripe, Inc. and its affiliates, the payment processor Studio Splitz uses.
- Related engineer account means an engineer account that (a) is held or controlled by, or held on behalf of, the studio, the studio owner, a business or person responsible for the studio account under our Terms of Service, or a person who holds a majority or controlling interest in the studio, or (b) receives money that is really the studio's own share, or passes its payouts back to, or uses them to pay debts of, any of them. An engineer account is not a related engineer account just because the engineer works for, is employed by, contracts with, is a partner in or holds a non-controlling interest in the studio, works there regularly, is an officer or manager, or has authority over its settings. A share paid for work a person personally performed on a session is never treated as the studio's own share, unless the account is one described in (a). We treat an account as a related engineer account only if we reasonably conclude, in good faith and based on specific facts, that it meets this definition. Before we first hold, withhold or reverse a payout on that basis, we email the account holder and the studio our reasons and give each of them at least 10 days to respond to support@studiosplitz.com, and we consider any response. If the law or a fraud investigation prevents advance notice, we tell them as soon as we are allowed to. If we later agree the account is not a related engineer account, we release or pay back what we held, withheld or reversed on that basis. We email the holder each time we withhold from or reverse a payout to that account, we never take more than the studio owes or than these terms would let us take from the studio's own share, and an amount we hold on this basis is a hold under Section 7.11, including its time limit. By connecting or keeping a payout account on Studio Splitz, the holder of a related engineer account agrees that payouts to it are treated as payouts of the studio's own share for Sections 7.11, 7.13, 9, 10 and 17, and that the engineer protections in these terms do not apply to it. If the holder is the studio's employee, the studio stays responsible for any wages it owes that person.
- The address on your account has the meaning in Section 26.8 of our Terms of Service, which also says which notices go to which address. In short: for an engineer or client, it is the email address you currently use to sign in. For a studio, notices about bookings, payments, disputes, chargebacks and amounts owed go to the contact email in your studio profile if you have set one, and otherwise to the email address the studio owner signs in with. Notices about your Stripe payout account, held payouts (Section 7.8) and plan payments go to the email address the studio owner signs in with. Notices under Section 4.7 and under the changes section of these Payment Terms go to both addresses. Notices to either address can start deadlines under these terms, so keep both current and make sure someone you trust reads them.
3. How payments work on Studio Splitz
3.1 Stripe processes every payment. Payments on Studio Splitz are processed by Stripe. Card and bank details are entered on pages provided by Stripe and are not received or stored by Studio Splitz. Plans are billed through Stripe, clients pay on Stripe's checkout page, and studios and engineers receive payouts in their own Stripe accounts (Section 5).
3.2 Studio Splitz is the merchant of record for client payments. When a client pays for a session, the payment is taken by Studio Splitz through our Stripe account, and Studio Splitz is the merchant of record for that payment. The charge appears on the client's statement under the name Studio Splitz or our company name, CTRL Music Platforms, not under the studio's name. The session price in that charge is a payment to the studio, which Studio Splitz accepts on the studio's behalf as its limited payment collection agent (Section 6.1). The Service Fee in that charge is Studio Splitz's own. Studio Splitz is not a party to the agreement between the client and the studio for the session and does not provide recording, engineering or production services. The studio is responsible for the session.
3.3 Holding funds. Client payments are held in Studio Splitz's Stripe account until they are paid out under Section 7 or refunded. They are not held in an escrow or trust account, no interest is paid to anyone on them, and funds for many bookings and users may be held together. Studio Splitz does not advance its own money for payouts: every payout of a session share comes from money a client has paid for that booking, except where these terms say we pay from our own funds (for example, to correct our own error).
3.4 US dollars. All prices, fees, payments and payouts on Studio Splitz are in US dollars. Studio Splitz is based in the United States.
3.5 Fraud checks. To protect clients, studios and engineers from fraud, we use the following, and you agree that we may:
- 3D Secure. On client payments we ask the card's bank to authenticate the payment with 3D Secure whenever the card supports it, so the client may be asked by their bank to confirm the payment. Stripe also screens every charge for fraud.
- Card fingerprints. For each client payment, and for cards saved for a studio's plan, Stripe gives us a card fingerprint: a code that identifies the same card again without revealing its number. We keep it with the account that used the card.
- Sign-in device data. We keep the IP address and browser or device type of each sign-in session.
- How we use them. We compare these to tell whether a client paying for a session looks like the studio owner or one of the studio's engineers (Section 7.5), and to look into fraud, unauthorized payments and abuse. Our Privacy Policy explains how long we keep this information.
3.6 Who pays which costs.
| Cost | Who pays it |
|---|---|
| Session price | The client, paid to the studio through Studio Splitz |
| Service Fee | The client. Studio Splitz charges and keeps it for its own account |
| Platform fee | The studio. It is shared with engineers only if the studio chooses "Deducted before split" (Section 6.6) |
| Monthly plan price | The studio, on a paid plan |
| Stripe's processing costs on client payments | Studio Splitz |
| Stripe's fees for connected accounts and standard payouts | Studio Splitz |
| Stripe's dispute fees on client payments | Studio Splitz |
| Stripe's dispute fees on your own card payments to Studio Splitz that you dispute, including plan charges | You (Section 9.2) |
| Card processing on payments a studio makes to Studio Splitz to settle its studio balance or cover a refund | Studio Splitz |
| A Service Fee refunded to a client | The studio or Studio Splitz, depending on the case (Section 8.9) |
| The studio's share of refunds and chargebacks | The studio (Sections 8 to 10) |
| Optional instant payouts | As set by Stripe, where available (Section 5.6) |
Part A. Studio owners
4. Subscription plans
4.1 Plans. Studio Splitz offers a Starter plan with no monthly charge and paid plans with a monthly charge (currently Pro, Studio and Scale). Each plan has its own price, limits (such as rooms, engineers, sessions per month and file storage), features and platform fee, shown on our pricing page and in Plan & Billing. Session limits count sessions by the calendar month in which they take place, in your studio's time zone. Every plan, including Starter, pays the platform fee on client payments (Section 6.6), and your plan may set a minimum session price.
4.2 Billing and payment authorization. Paid plans are billed monthly in advance through Stripe. You buy a paid plan, at sign-up or later in Plan & Billing on the web, on a Stripe checkout page, and your paid plan starts once the first payment succeeds. If you choose a paid plan when you sign up, your account is created after that payment succeeds. By subscribing, you authorize Studio Splitz and Stripe to charge the payment method you provide, or any payment method you later add, each month for your plan price, plus any applicable taxes and any prorated charges from plan changes, until you cancel. After you subscribe or change to a different paid plan, we email you a confirmation with your plan, the amount charged, the regular monthly price after any discount, your next billing date, these renewal terms and how to cancel.
4.3 Automatic renewal terms.
Your paid plan renews automatically every month until you cancel. To avoid being charged for the next month, cancel before your next billing date, which is shown in Plan & Billing and on the Plan screen in the app. Each month we charge the plan price shown at checkout (or, after an introductory discount ends, the regular price shown at checkout), plus any applicable taxes, to your payment method on file. The price can change only as described in Section 4.7, after notice to you. Your plan runs month to month with no minimum term and no minimum purchase. There is no fee for cancelling. After your paid plan ends, your studio moves to Starter, and Starter's limits and platform fee apply to payments whose checkout opens after the move, including payments for bookings made earlier. You can cancel online at any time (Section 4.5), or by email if you cannot sign in (Section 4.12), and cancellation takes effect at the end of the billing period you have already paid for.
4.4 Changing plans. You can change between paid plans at any time in Plan & Billing on the web.
- Before a change between paid plans is charged, we show you the new plan, the amount charged today and the regular monthly price that applies from your next billing date, and the change is made only after you confirm it. We keep a record of what we showed you and when you confirmed.
- A change between paid plans takes effect immediately, and Stripe calculates a prorated amount for the rest of your current billing period.
- When you move to a higher priced plan, the prorated difference is charged right away to your payment method on file. Your new plan starts only once that payment goes through. If it does not, you stay on your current plan.
- When you move to a lower priced plan, nothing is charged today, and the unused value of your higher priced plan becomes a credit with Stripe that is applied to your future plan invoices. It is not paid out in cash.
- You cannot move to a plan that allows fewer rooms or engineers than you currently have. Remove the extra rooms or engineers first.
- To move from a paid plan to Starter, cancel your paid plan (Section 4.5).
- The platform fee of the plan you move to applies to payments whose checkout opens after the change.
- Plan changes may not be used to get a higher priced plan's platform fee without paying for it. If you move up to a higher priced paid plan and then, before the end of that billing period, move down to a lower priced paid plan and receive a proration credit for the higher priced plan, we may recalculate the platform fee on payments whose checkout opened while you were on the higher priced plan during that period, using the platform fee of the plan you moved down to. We may charge the difference to your studio balance, less the plan charges you actually paid for the higher priced plan for that time after any proration credit, and never more than the proration credit you received. Before we do, we email you which payments are affected, the amount and how we worked it out. This does not apply if you cancel your plan, keep the higher priced plan to the end of that billing period, or paid its full price for the time you were on it. A charge under this bullet is not a price or fee change under Section 4.7 or 18.
4.5 Cancelling. You can cancel a paid plan at any time in Plan & Billing on the web, on the Plan screen in the app, or by emailing support@studiosplitz.com. Cancellation takes effect at the end of your current billing period, which is shown in Plan & Billing. Your paid plan's features continue until then, and you will not be charged plan fees again. Cancelling does not end the authorization in Section 9.3 to charge your saved card for amounts your studio owes. You can reactivate your plan before the period ends in Plan & Billing on the web or by emailing support@studiosplitz.com, and we reactivate a cancelled plan only when you ask us to. When the period ends, your studio moves to Starter automatically, and we email you, listing anything that is over Starter's limits. Bookings already made stay in place, but their payments whose checkout opens after the move carry the Starter platform fee. If your studio is over Starter's limits, we keep your existing rooms, engineers, bookings and files, but you may not be able to add more until you are within the limits. A move to Starter after your paid plan ends is not a price or fee change under Section 4.7. You must cancel any paid plan before you can close your studio account (Section 17.2).
4.6 Failed payments and ended subscriptions. If a plan payment fails, we email you after each failed attempt with a link to update your payment method. Stripe may try again over the following days or weeks, and your plan may stay active while payment is retried. If payment is still not received after the final attempt, or your Stripe subscription otherwise ends, your subscription is cancelled and your studio moves to Starter as Section 4.5 describes. This does not move a plan arranged by Studio Splitz under Section 4.9. If you dispute a plan charge with your card issuer and the dispute is decided for the cardholder, Section 9.2 applies, and we may also cancel your paid plan, telling you by email.
4.7 Changes to plans, prices and fees. We may change plan prices, plan features, plan limits or the platform fee for a plan, including by moving your studio to an updated version of your plan. We will tell you at least 30 days before any of the following takes effect for your studio, by email to the address on your account (for a studio, the email address the studio owner signs in with and, if different, the contact email in your studio profile), and we may also show the notice in your dashboard: (a) an increase in your plan price; (b) an increase in your platform fee; (c) for a paid plan, a reduction in your plan's limits or the removal of a feature included in your plan; or (d) an increase in the Service Fee rate (Section 6.7). A plan price increase, and a reduction in the limits or features of a paid plan, applies from your first billing date after the notice period ends. A platform fee increase applies to payments whose checkout opens on or after the date it takes effect, including later payments for bookings made earlier. A Service Fee increase applies only to bookings made on or after the date it takes effect. If you do not agree to a change, you can cancel your plan and stop accepting new bookings before it takes effect. Price and fee decreases, and added limits or features, can take effect right away. We may make a change with shorter notice where the law, Stripe or card network rules require it, or where it is reasonably necessary to address a specific security or fraud risk, and then we tell you as soon as we reasonably can. If we have agreed a price, fee or limits with you in writing, changes follow that agreement.
4.8 Introductory discounts and trials. We may offer an introductory discount on a paid plan, for example on the first month for studios that have not yet finished setting up. The discount, how long it lasts and the regular price you will pay afterward are shown before you confirm the purchase. When the discount ends, your plan renews at the regular price. If the discount lasts more than 7 days, we email you at least 7 days before your first charge at the regular price with the date, the amount and a link to cancel. If we offer you a free trial, we tell you before you start when the trial ends and the price that applies afterward. If your trial lasts more than 7 days, we email you at least 7 days before it ends with the date your regular price starts, the amount and a link to cancel. Unless you cancel before the trial ends, your paid plan begins at the end of the trial and we charge your payment method on file. If no payment method is on file, the paid plan's features may pause until you add one.
4.9 Custom plans and invoices. If we agree a custom plan with you in writing, such as special pricing, a plan billed by invoice, or a plan arranged by Studio Splitz, that agreement controls where it differs from this Section 4. Invoices are due by the date stated on them. We charge your saved payment method for an invoice or other one-time amount only if you agreed in writing that it may be charged that way, and only after we send you the invoice or tell you its amount and the date we will charge it. A plan arranged by Studio Splitz is changed or cancelled by contacting support rather than in Plan & Billing. This Section does not limit the collection of amounts you owe described in Section 9.3.
4.10 No refunds of plan charges. Plan charges are not refundable, including for partial months, unused features or a cancellation during a billing period, except for the proration credit in Section 4.4, a billing error (Section 15), a refund or credit under Section 4.12, a refund our Terms of Service provide if we stop offering the Services, or where the law requires a refund.
4.11 Plans and the mobile app. Paid plans are not sold in the Studio Splitz apps or through Apple App Store or Google Play in-app purchase. The apps do not sell paid plans, change them, or link to a page where you can buy one; the Plan screen in the app says "Manage your plan at studiosplitz.com". To buy or change a paid plan, go to studiosplitz.com in a web browser and open Plan & Billing. On the Plan screen in the app you can view your plan and cancel it. To reactivate a plan that is set to cancel, or to buy or change a paid plan, go to studiosplitz.com in a web browser and open Plan & Billing. Apple and Google do not process plan payments and are not responsible for them.
4.12 Plans while your account is suspended. A suspension does not cancel your paid plan by itself. Your plan keeps renewing during a suspension unless you cancel it or we pause its billing. While you cannot sign in, you can cancel by emailing support@studiosplitz.com from the email address on your account (for a studio, either the email address the studio owner signs in with or the contact email in your studio profile). We may pause your plan's billing, or cancel your plan, while a suspension lasts. If we suspend or close your studio account for a reason other than your breach of our Terms of Service or these Payment Terms, or we later find that a suspension was our mistake, we will refund or credit, at your choice, the plan charges for the time your account was suspended or, if we close it, the unused part of the current billing period. If a suspension was our mistake, Section 8.11 also applies.
5. Stripe accounts for studios and engineers
5.1 A Stripe account is required to be paid. To receive payouts, a studio owner and each engineer must open a Stripe connected account through Studio Splitz using Stripe's onboarding. Each engineer's account is the engineer's own, separate from the studio's. Clients cannot pay a studio online until the studio's Stripe account can accept payments and receive payouts, and clients can book an engineer online only after that engineer's account is set up.
5.2 Stripe Services Agreement. Payment processing services for studio owners and engineers on Studio Splitz are provided by Stripe and are subject to the Stripe Connected Account Agreement (https://stripe.com/connect-account/legal/full), which includes the Stripe Terms of Service (https://stripe.com/legal/ssa) (together, the "Stripe Services Agreement"). By agreeing to these Payment Terms or continuing to operate as a studio owner or engineer on Studio Splitz, you agree to be bound by the Stripe Services Agreement, as Stripe may modify it from time to time. As a condition of Studio Splitz enabling payment processing services through Stripe, you agree to provide Studio Splitz accurate and complete information about you and your business, and you authorize Studio Splitz to share it and transaction information related to your use of the payment processing services provided by Stripe. Personal data you provide in Stripe onboarding is received by Stripe and processed under Stripe's Privacy Policy (https://stripe.com/privacy).
5.3 Accurate information and verification. Stripe collects and verifies your identity, business, tax and bank details during onboarding. Studio Splitz does not store your bank account details. You must keep this information accurate and current and respond to Stripe's requests for more information. If the ownership of your business or its tax ID changes, you must update your Stripe account and accept the Stripe Services Agreement again. You must be at least 18 years old, or the age of majority where you live if that is higher, to connect a Stripe account through Studio Splitz.
5.4 Keeping your account in good standing. If Stripe needs more information from you, restricts your account, disconnects it from Studio Splitz, or cannot send money to your bank, we email you. Until the problem is fixed, payouts due to you are held (Section 7.8). An engineer whose Stripe account is restricted is not shown on the studio's booking page. If a studio's Stripe account is disconnected, the studio can connect a replacement account, and its booking history is kept.
5.5 Negative balances and bank debits. A reversal of a payout (Sections 7.13 and 11.4), or anything else Stripe charges to your Stripe account, can leave your Stripe account balance negative, for example when the money was already sent to your bank. When your Stripe account is ready, Studio Splitz turns on Stripe's setting that lets Stripe debit the bank account linked to your Stripe account to cover a negative balance. You authorize Stripe to recover a negative balance from later money sent to your Stripe account or by debiting that linked bank account, as the Stripe Services Agreement allows.
5.6 From your Stripe account to your bank. Stripe sends the money in your Stripe account to your bank on your Stripe payout schedule, which you can view and, where Stripe allows, change in your payout settings. Stripe may offer optional instant payouts, and any fee for them is set and charged under Stripe's terms. Instant payouts are turned off in Studio Splitz for a studio in its new studio period and for that studio's engineers (Section 7.4). For a studio already on Studio Splitz, this starts only on the date this version of the Payment Terms first applies to it under Section 1.6 of our Terms of Service. When a payout reaches your bank depends on Stripe and your bank. We are not responsible for delays or errors caused by Stripe or by banks.
6. Client payments for your sessions
6.1 Studio Splitz as your payment collection agent. You appoint Studio Splitz as your limited agent, solely to accept payments from clients for your sessions on your behalf, to hold them, to pay them out as these terms describe (including paying your engineers' shares as your split settings direct), to make the refunds these terms and the Cancellation and Refund Policy require or permit, and to stop requesting payment of, or clear, a client's unpaid balance where these terms allow (Sections 6.8, 6.11 and 12.7). A client's payment to Studio Splitz for a session counts as payment to you: once we receive it, the client's obligation to pay you that amount is satisfied, even if we later fail to pay it out to you, and you will look only to Studio Splitz, not the client, for it. This does not apply to amounts a client still owes, amounts that are charged back, or amounts refunded under these terms. You authorize Studio Splitz to tell clients, on your booking pages and in booking and payment emails, that it accepts payments for your sessions on your behalf, and you will not describe Studio Splitz to clients as the seller or provider of your sessions. When a held share is refunded to the client under Section 7.8, the session's price is lowered by that amount, so the client does not owe it to you or anyone else. The Service Fee is charged by Studio Splitz for its own account, not as your agent. Our duties as your agent are limited to those stated in these terms. You agree that we may hold client payments for your sessions together with other funds in Studio Splitz's Stripe account, without interest and not in trust or escrow (Section 3.3), and that we may decide how to respond to disputes (Section 10.1). To the fullest extent the law allows, we owe you no other fiduciary or agency duties.
6.2 Your prices. You set your rates (a standard hourly rate, room rates and length based pricing for rooms) and may set a custom price when you or an engineer book for a client.
- A session's price is the actual time booked multiplied by the rate that applies, using the best length based rate the session qualifies for, or the custom price.
- The price is locked when the booking is made, so later changes to your rates do not change the price of sessions already booked. If a session's length or room changes, its price is worked out again from the locked price, and length based rates are applied again for the new length. A goodwill refund that lowered the price stays the same dollar amount. A change you, an engineer or Studio Splitz make that the client did not ask for never raises the price (Section 8.4). Extra time added to a session in progress is added to the price when it is recorded, but the client does not owe it if they did not ask for or agree to it (Sections 6.9 and 12.7). A custom price stays as set unless you allow clients to change the length of custom priced sessions, in which case the price changes with the length at the same hourly equivalent.
- Sessions are priced for the actual time that passes, so a session that crosses a daylight saving time change can be an hour shorter or longer than the clock times suggest.
- Card payments must be at least $0.50, and your plan may set a minimum session price. Free sessions are allowed on plans that permit them.
- Studio Splitz adds the Service Fee to each payment (Section 6.7). We do not add the platform fee to the client's price.
6.3 Payment terms and settings stored with each booking. You choose when clients pay:
- Full payment upfront: the client pays the whole session price when booking (or, for a booking request, after it is approved).
- Require a deposit: the client pays a deposit, as a percentage of the session price from 1 to 99 percent or as a fixed amount of at least $0.50 and no more than the session price, and pays the rest later.
- Pay after the session: nothing is charged at booking, and the client pays after the session ends. This is the default.
The payment terms in effect when a booking is made, your setting for the Service Fee when a client cancels ("When a client cancels, the Service Fee": "Keep it (not refunded)", the default, or "Refund it too (the studio pays it)"), the Service Fee rate and your split settings are stored with that booking and keep applying to it even if you change your settings later. Your other settings apply as they stand when the event they govern happens, including what happens to an engineer's deposit share when the engineer is taken off a session (Section 11.4) and whether clients may change the length of custom priced sessions (Section 6.2). What happens when you, an engineer or Studio Splitz cancel a paid session is not a setting: the client is always refunded in full (Sections 8.2 and 8.3).
Clients can shorten their own session before it starts, down to your minimum session length, and you cannot turn this off for sessions that are not custom priced. If the shorter session costs less than the client has already paid, the difference is refunded automatically after the session ends. This is not a cancellation. Any part of that refund already paid out from a deposit is taken back (Sections 7.13 and 11.4).
6.4 When clients are charged.
- When your studio accepts bookings automatically and takes payment at booking, the client pays at checkout when booking. If the client does not complete payment within about 30 minutes, or before the session starts if that is sooner, the booking is released.
- When you or an engineer review booking requests first, nothing is charged until the request is approved. A request can be approved only until 2 hours before its start time. A request that has not been approved by then cannot be approved, and it is declined automatically at its start time, and everything paid toward it, including the Service Fee, is refunded automatically. We email the client whenever a request is approved, whatever the client's email settings. After approval, if your payment terms take payment before the session, the client is emailed the amount due. An approved request is a confirmed booking and is not released automatically if the client does not pay. If you do not want to hold the time without payment, you can cancel it from its session page. If it is not cancelled, it is marked completed when it ends, and any amount still unpaid becomes a balance due (Section 6.8).
- Under "Pay after the session", the client is emailed the amount due when the session ends.
- When you or an engineer book for a client, you must confirm that the client's email address belongs to an adult client, or to the parent or legal guardian of a minor client. If your studio takes payment at booking, the client is emailed a payment link, and if the client does not pay within the same window, the booking is released.
- Clients can also pay a deposit or balance from their session page.
Studio Splitz does not save clients' payment details and cannot charge a client later unless the client pays through a checkout. Studio Splitz does not guarantee that any client will pay.
6.5 What clients see and agree to before paying. Every price Studio Splitz shows clients for your rooms and sessions includes the Service Fee. Before a client books, sends a request or pays, the booking page or session page shows, directly above the button, a short summary of the cancellation terms for the booking based on the settings stored with it: that if the client cancels, nothing is refunded automatically and any refund is your decision (and, for deposit bookings, that the deposit is refunded only if you choose to refund it); whether the Service Fee is refunded if the client cancels; that if you or Studio Splitz cancel, the client is refunded in full automatically; that Studio Splitz does not record attendance, so a confirmed session that is not cancelled before it starts is treated as having taken place and the full price is due; and that charges are in US dollars, that the merchant is CTRL Music Platforms LLC (United States), and how to reach us. Before the first payment, the summary also shows the Service Fee on today's payment, any balance due later with its Service Fee, and the total for the whole booking. The client must tick the checkbox described in Section 1.4. The Stripe checkout page for a booking, deposit or balance repeats a one line version of the cancellation terms. The email we send when a request is approved, the email we send when you or an engineer book a session for a client, and our payment emails repeat the summary, and the approval email also says that the booking is confirmed even though the client has not paid.
6.6 Platform fee.
- Studio Splitz charges you a platform fee on each client payment. The amount is set by your plan, or by any fee we agree with you in writing, and is shown in Plan & Billing, in your payment settings and in your payment records. Because it differs by plan, it is not stated in these terms.
- The fee is calculated separately for each payment when its checkout opens, on the amount of that payment, not counting the Service Fee, using your plan and fee in effect at that moment, rounded to the nearest cent.
- The fee is kept from the payment before payout, and you authorize us to deduct it. It is never charged to clients and is not shown to them.
- Your "platform fee handling" setting decides who carries the fee. With "Studio absorbs fee" (the default), engineers' percentages are calculated on the full payment and the fee comes out of the studio's share. With "Deducted before split", the fee comes off the top and the split applies to the rest. If the studio's share is too small to cover the fee, engineers receive what is left after the fee and the studio receives nothing from that payment.
- How the fee is treated when a payment is refunded is explained in Section 8.8.
6.7 Service Fee.
- Studio Splitz charges clients a Service Fee on every payment for a session, including deposits, full payments, balances and paid changes. It is shown to the client before each payment, it is the same whatever card or wallet the client pays with, and it is charged by Studio Splitz for its own account for use of the Studio Splitz booking and payment service. It is not a card fee or a payment processing fee.
- Wherever Studio Splitz shows your rates or a session price to clients, the price shown includes the Service Fee. Your dashboard shows your rates before the Service Fee, and that is the amount your session price and payouts are based on. The Service Fee is also shown as its own line before each payment and in payment emails.
- Studio Splitz keeps the Service Fee. It is not part of the session price, it is not paid out to you or your engineers, and no platform fee is charged on it. It is not added to plan charges or to payments you make to Studio Splitz.
- The Service Fee on every payment for a booking is calculated the way it was when the booking was made, so the total shown before the first payment does not go up because of a later change. If today's calculation gives the client a lower Service Fee, the lower amount applies. A booking made before the Service Fee was introduced is charged a flat Service Fee rate set for that booking, which is never higher than the fee that applied when the booking was made. A change the law requires applies as the law requires. We will tell studios at least 30 days before an increase in the Service Fee rate takes effect (Section 4.7).
- When the Service Fee is refunded, and who pays for it, is explained in Section 8.9. In short, it is refunded in full when you, your engineer or Studio Splitz cancel a paid session, in proportion with automatic refunds, and when a client cancels only if your setting stored with the booking is "Refund it too (the studio pays it)" and you refund that payment in full.
- We may change how the Service Fee is calculated or applied where the law requires it or where we decide to, subject to this Section 6.7 and Section 4.7. Any change is shown to clients before they pay.
6.8 Unpaid balances and payment reminders.
- Balances. When a session ends with money still owed, it is marked as having a balance due and the client is emailed once. A client with an unpaid balance cannot book your studio again until it is paid, and cannot download your studio's files for that session until the session is paid in full. Payouts from money already collected for the session still go ahead (Section 7.2).
- Reminders. You and your engineers can send payment reminders from the session page or through Splitz AI: no more than one per booking every 3 days and no more than 5 for each balance. A note you add is limited to 500 characters. Reminders must be accurate and must not threaten, harass or mislead the client. If a client asks Studio Splitz to stop balance reminders, the next reminder is sent as a last reminder and no more are sent after it.
- Collection. Studio Splitz bills clients for your sessions, and accepts their payments, only as your payment agent under Section 6.1. It does not take collection action on unpaid amounts, does not report them to anyone, does not charge clients late fees or interest, and is not responsible if a client does not pay. You may pursue unpaid amounts directly with the client in a lawful way.
- Billing review. If a client tells us that they did not agree to a booking made in their name, that you did not provide the session (including a session moved, or whose lead engineer was changed or removed, without the client's request where the client neither agreed nor attended, Section 8.4), that extra time was added that they did not ask for or agree to, or that they asked in time to cancel the session in another way the Cancellation and Refund Policy allows, we review it. While we review it, reminders for that balance cannot be sent and the balance does not stop the client from closing their account. We email you and give you at least 5 business days to respond, and we consider any response before deciding (if your account is suspended, respond by email to support@studiosplitz.com). If you do not respond in time, or your account is closed and we have no working email address for you, we decide on the information we have. A statement from the client alone does not outweigh credible evidence from you that the client attended.
- Our decision. If we decide in good faith that the booking was made without the client's agreement, or that you did not provide the session as booked, we clear the balance and refund what the client already paid for that session (Section 8.6(d)). If we decide only that the client did not agree to extra time, we remove only the charge for that time, or refund it with its Service Fee if it was paid. If we decide that the client asked in time to cancel in another allowed way and did not attend or use any part of the session after asking, the session is treated as cancelled by the client when the request was sent, and the rules for client cancellations, with your settings stored with the booking, apply. You authorize us to clear balances, remove charges and refund in these cases as part of our role under Section 6.1, even if you later disagree. When we clear a balance, Studio Splitz stops requesting payment of it through the Services and the booking and download restrictions for that session end. Clearing a balance is not a decision on whether the client owes you, does not release any debt the client owes you, and is not a cancellation by Studio Splitz. If you pursue the client directly, you must not say or suggest that Studio Splitz decided the client owes the balance.
6.9 Your settings and actions in your account. Your payment settings, split settings, cancellations, refunds, price changes and waivers (such as "Don't charge for the extra time") are your instructions to us, and we act on them. This includes actions taken by you, by your engineers within their permissions (for example, a lead engineer cancelling a paid session, which refunds the client in full automatically), and by Splitz AI after you confirm them. You are responsible for the actions of your engineers in your studio account. When you or an engineer change a booking, you must record truthfully whether the client asked for the change (Section 8.4). You and your engineers may charge for extending a session in progress only when the client asks for or agrees to the extra time.
6.10 Your policies and legal duties. You are responsible for making sure your prices, deposits, payment terms and cancellation and refund choices comply with the laws that apply to you and your clients, including consumer protection and pricing laws, and that any deposit you require, and any amount you keep when a client cancels, is lawful and reasonable. Any refund suggestion Studio Splitz shows you is only a suggestion. Studio Splitz is responsible for including its Service Fee in the prices it shows clients through Studio Splitz. If you show or advertise your rates or session prices outside Studio Splitz, you are responsible for complying with the pricing disclosure laws that apply where you advertise, including any law that requires an advertised price to include mandatory fees. For bookings made through Studio Splitz, the Service Fee is a mandatory fee.
6.11 Payments made outside Studio Splitz. For bookings made through Studio Splitz, you should take every payment through Studio Splitz. If a client pays you, or anyone on your team, any part of a session's price outside Studio Splitz (for example in cash or by bank transfer), you must tell us at support@studiosplitz.com within 5 business days, saying how much was paid and whether you also release the client from the rest of the balance. We will then clear the amount you confirm was paid, or that you release, and Studio Splitz will stop requesting payment of it through the Services. You authorize us to do this as part of our role under Section 6.1. Clearing an amount this way is not a cancellation or refund and does not change any payout from money already collected. You must not send reminders for, or say a client owes, an amount the client already paid you outside Studio Splitz. Taking payment outside Studio Splitz in order to avoid fees is not allowed. A client who paid you directly can also ask us to clear the amount (Section 12.7).
7. Payouts
7.1 Split settings are saved when a session is booked. Your split settings are copied onto each booking when it is made, so later changes to your settings do not change pay for sessions already booked. The pay for a session can still change if engineers are added to or taken off it (Section 11.2). When you or an engineer book for a client, you can set exact amounts for each engineer instead, as long as they do not exceed the session price minus the platform fee. Your split settings and any amounts set for a booking are your instruction to Studio Splitz to pay your engineers their shares out of the payments for your sessions. When you work a session as its engineer, that share is included in the studio's payout.
7.2 When payouts are made. Full payments, and balances paid before the session, are held until the session's scheduled end time passes and the session is marked completed, which happens automatically. Payouts normally start shortly after that, or 7 days after the session's scheduled end time during your new studio period (Section 7.4). A balance paid after the session is paid out when it is received (but not before the session's release time during the new studio period). A session is completed at its scheduled end time whether or not the client attended, and its payouts go ahead. If a balance is still owed, payouts are made from the money already collected. Every payout is subject to Sections 7.4 to 7.11 and to amounts withheld under Section 9.3.
7.3 Deposits. When a booking's payment terms require a deposit, the deposit minus its platform fee is paid out as soon as it is paid, according to your "Deposit goes to" setting: to the studio, to the engineers first (each up to their share of the whole session, with the studio receiving the rest), or split in proportion to the full split. During your new studio period, or while a booking waits for self-booking review, a deposit is not paid out when it is paid: Studio Splitz holds it and pays it out with the rest of the session's money (Sections 7.4 and 7.5). For a studio already on Studio Splitz, this applies only to bookings whose first payment checkout opens on or after the date this version of the Payment Terms first applies to it under Section 1.6 of our Terms of Service; a deposit paid on an earlier booking is paid out when it is paid. The studio never receives more of a deposit than its share of the whole session. Under the "studio" setting, the studio often receives the whole deposit. If the client later pays in full, the engineers are paid from the balance and, where needed, by the reversal in Section 7.6. If the client never pays the balance, the studio keeps the deposit it received, and any claim for an engineer's share of it is between the engineer and the studio. Deposit payouts are provisional (Section 7.12).
7.4 New studios: payouts 7 days after the session. To protect clients and engineers against fraud while a studio is new, each studio has a new studio period. It starts when your studio's Stripe account is first ready, and it ends only when both of these are true: 60 days have passed since then, and your studio has had at least 10 completed paid sessions. So it lasts for whichever of the two takes longer, and a studio with fewer than 10 completed paid sessions stays in it however long it has used Studio Splitz. Studios already on Studio Splitz are included from the date this version of the Payment Terms first applies to them under Section 1.6 of our Terms of Service, and then only for bookings whose first payment checkout opens on or after that date. Bookings paid before that date are paid out on the timing that applied when they were paid. During the new studio period:
- Session payouts. The payout of each session, to your studio and to every engineer on it, is sent 7 days after the session's scheduled end time instead of shortly after it.
- Deposits. A deposit is not paid out when it is paid. Studio Splitz holds it, and it is paid out with the rest of the session's money at that same time.
- Instant payouts. Optional instant payouts are turned off in Studio Splitz for your studio and for your engineers.
A session's release time is set the first time its payout is due during the new studio period, and it never moves later, even if the period ends before then. We email you the first time a payout waits under this Section. Money waiting for its release time is still owed to the studio and engineers it is due to, and the rest of these terms apply to it, including refunds, which are paid first from money Studio Splitz still holds for the booking (Section 8.7). This later release is part of the normal payout schedule, not a hold under Section 7.11.
7.5 Self-booking review. When the client paying for a session looks like the studio owner or one of the studio's engineers (the same account, the same email address, a card the owner or an engineer has used, or a sign-in from the same IP address and the same browser or device type as the owner or an engineer in the last 60 days, Section 3.5), the booking goes ahead, but its payout, including any deposit payout, to the studio and to every engineer on it, waits until Studio Splitz reviews and approves it. Once we approve it, the payout is made under the normal rules. This review is subject to the time limit and the end-of-hold rules in Section 7.11, counted from the last client payment for the session. If we conclude the payment was fraudulent or unauthorized, Sections 7.13 item 5 and 8.6(e) apply. Practice studios (Section 16) are not reviewed. For a studio already on Studio Splitz, this review applies only to bookings whose first payment checkout opens on or after the date this version of the Payment Terms first applies to it under Section 1.6 of our Terms of Service.
7.6 How each payout is calculated. Each payout pays each party its full share of the money collected so far for the booking, minus what that party has already received, and never more than Studio Splitz holds for that booking. When Studio Splitz does not hold enough to pay everyone, engineers are paid first. If a session is paid in full and your engineers are still owed part of their shares while your studio has already received more than its own final share (for example, after a deposit was paid to the studio and the session was then shortened or partly refunded), we reverse the difference from payouts already made to your studio for that booking, up to what the engineers are owed, and pay it to your engineers (Section 7.12).
7.7 Cancelled sessions that kept money. If a cancelled session still holds money a client paid, such as a deposit that was not refunded after a client cancelled, that money is paid to the studio once the session's scheduled end time has passed. Engineers receive no share of it, but keep any deposit share already paid to them, subject to Section 11.4. This does not apply to sessions you, your engineer or Studio Splitz cancel, which are refunded in full (Sections 8.2 and 8.3), or to a session refunded in full under Section 8.11. If money from a cancelled session is later owed back to a client, we may refund it after it has been paid to you, and the refund is funded under Section 8.7.
7.8 Payout accounts that are not ready. If a studio's or an engineer's Stripe account cannot receive a payout when it is due, that share is held in Studio Splitz's Stripe account and paid automatically once the account is fixed. We send email reminders while the share is held. If a share is still held 90 days after the hold began, we may refund it to the client's original payment method, together with the matching part of the Service Fee. That refund covers only the share still held. When it is refunded, the session's price is lowered by that amount, the client does not owe it again, and Studio Splitz will no longer pay that share. This does not affect any claim an engineer has against the studio. Some cases need review by our team and may take longer or be resolved differently. If your account is suspended while a share is held for you, you can still fix your Stripe account directly with Stripe, and the held share is then paid to you instead of being refunded. If the fix needs you to sign in to Studio Splitz, email support@studiosplitz.com from the email address on your account (for a studio, either the email address the studio owner signs in with or the contact email in your studio profile) at least 14 days before the refund date shown in our reminders, and we will give you the access you need at least 7 days before that date, unless the law, a court order, Stripe or an active fraud investigation prevents it. This also applies if you were removed from a team or your studio was closed. If we cannot give you that access in time, the 90-day refund does not run for that share until 30 days after we do. If we suspended your account by mistake, or we did not give you that access in time after a timely request, we will pay you from our own funds any share refunded under this Section once your Stripe account can receive it, provided it can within 180 days after the refund.
7.9 Payouts on hold for review. We put a session's payout on hold, and email you, if refunds have left less money than the payout needs, if no client payment for the booking can fund a transfer, if the session is paid in full and your engineers are owed more than Studio Splitz holds for the booking, or while the booking waits for self-booking review (Section 7.5). Nothing more is sent for that session until our team reviews it, and we review held payouts within a reasonable time. A hold under this Section 7.9 is subject to the time limit and the end-of-hold rules in Section 7.11, counted from the last client payment for the session. When it ends, we pay out what the booking can fund, minus any amounts Sections 8 to 10 allow us to keep back. A later payment on the booking runs the payout again, and our team may run it again after review.
7.10 Failed payouts. If a transfer in a payout fails, the other transfers already made in that payout (including transfers to engineers) are reversed, the payout is marked as failed, and the studio is emailed. We retry a failed payout automatically for up to 30 days after the session's scheduled end time. If it still has not gone through by then, or cannot be retried automatically, we email the studio and each engineer whose share is affected, and our team runs it again once the cause is fixed, after confirming what has already been paid so that no share is paid twice. You can also contact us (Section 19) once the cause is fixed, and we will run the payout again within 30 days of your request. Until it is paid, or refunded or reversed as these terms allow, the money stays in Studio Splitz's Stripe account and is still owed to the studio and engineers it was due to.
7.11 Other holds. We may also delay or hold a payout where reasonably necessary: while a payment is disputed (Section 10); while your account is suspended (for an engineer, this means your own engineer account; your studio's suspension does not on its own hold your share); if we reasonably suspect fraud, an unauthorized payment or a breach of our Terms of Service; where the law, a court order, Stripe or card network rules require it; or to recover amounts you owe (Section 9). Unless we are not allowed to, we will tell you when we hold a payout for one of these reasons.
While a studio account is suspended, or while we hold a payout to recover amounts the studio owes, we hold only the studio's own share. Each engineer's share is still paid on the normal schedule unless the reason for the hold concerns that engineer or that payment (for example, suspected fraud involving that engineer, a Stripe restriction, a dispute or refund request on that payment, or self-booking review), and never only because your studio owes us money, except for a related engineer account (Section 2). When a payment is disputed, we email the studio, not the engineers. If we hold an engineer's share for a reason that concerns that engineer, we tell that engineer when we hold it and when we release it, unless the law or a fraud investigation prevents it.
We release a held payout once the reason no longer applies. No hold under this Section 7.11 lasts longer than 120 days after the last client payment for the affected session, unless (a) a dispute or chargeback on that payment is still open, or (b) the law, a court order, a request from law enforcement or a government authority, or Stripe or card network rules require a longer hold, and then only until that ends. If our own review of suspected fraud, an unauthorized payment or a breach is not finished within 120 days, we may keep holding the amount for up to 60 more days, but only if we tell you by email before the 120 days end, unless the law prevents us. When a hold ends, we pay out what remains, minus any amounts Sections 8 to 10 allow us to keep back, whether your account is active, suspended or closed.
7.12 Payouts are provisional until the session's money is final. A payout made before a session's final price is set and fully paid, including a deposit share, is a provisional payment of that party's expected share. When the booking is paid in full, or its price changes because of a refund, a shorter or cheaper session, or a change to who worked the session, we work out each party's final share. If you have received more of that booking's money than your final share while one of your engineers is owed money for it, you authorize Studio Splitz, and Stripe on our instruction, to reverse the excess from the payouts made to you for that booking and pay it to that engineer. This is not a charge to your studio balance. Your session page shows each adjustment.
7.13 Payouts to your studio that can be taken back. You authorize Studio Splitz, and Stripe on our instruction, to reverse all or part of a payout made to your studio:
- Refunds. To fund a refund as Section 8.7 describes.
- Failed payouts. When any transfer in a payout fails (Section 7.10).
- Paying your engineers. When your studio received more than its final share of a booking while your engineers are owed part of their shares (Sections 7.6 and 7.12).
- Errors. To correct a payout error (Section 15).
- Chargebacks and fraud. To recover the amount of a chargeback charged to your studio balance (Section 10.2), up to the part of that payment paid out to your studio. If we reasonably believe a payment was fraudulent or unauthorized and no dispute has been opened, we may reverse the part of it paid out to your studio only to refund it to the cardholder or to hold the amount while we look into it, and we tell you the reason unless the law or a fraud investigation prevents it. An amount reversed and held this way is a hold under Section 7.11, including its time limit, and if the payment was not fraudulent or unauthorized, or the hold ends without a refund or chargeback, we pay it back to your studio's Stripe account, less any amounts Sections 8 to 10 allow us to keep back.
Reversals under items 2, 3 and 5 take back only money paid to your studio for that same booking. A reversal is taken from the balance of your Stripe account, and Section 5.5 explains what happens if that makes it negative. Amounts a reversal cannot recover are handled under Sections 8.7, 9 and 15.
8. Cancellations and refunds
The Cancellation and Refund Policy explains when clients are refunded. This Section 8 summarizes it for studios and explains who pays.
8.1 When a client cancels. When a client cancels, whether to refund is your decision, and Studio Splitz does not refund client cancellations automatically. Only the studio owner can issue refunds, full or partial, from the session page or through Splitz AI; engineers cannot. Any refund suggestion we show is only a suggestion. If your setting stored with the booking is "Refund it too (the studio pays it)", the Service Fee is refunded with a payment you refund in full, from the session page, through Splitz AI or the setup assistant, or through a Studio Splitz admin at your request. A client's request to cancel made in time in another way the Cancellation and Refund Policy allows is treated as a client cancellation (Section 6.8). If a client asks you outside the Services to cancel and you want the rules for client cancellations to apply, do not cancel the session yourself: ask the client to cancel from their session page, or forward the request to support@studiosplitz.com before the start time. We then ask the client to confirm it in writing from the email address on the booking, and only then cancel it as a client cancellation. If you cancel it yourself, it is a cancellation by you (Section 8.2).
8.2 When you or your lead engineer cancel a paid session. When you or the session's lead engineer cancel a session the client has paid for, from the session page or through Splitz AI, every payment kept on the booking is refunded to the client in full at once, less anything already refunded, Service Fees included, at your cost. This is not a setting, and you cannot choose to refund less, refund nothing or keep the Service Fee. It applies to every booking, including one made under an earlier version of these terms that let you decide the refund, for payments made on or after the date this version takes effect, as Section 1.6 of the Terms of Service describes, and it happens even if the client asked you to cancel. If the automatic refund does not go through, the money still kept on the booking is held and not paid out to you, our team is alerted, the client is told by email how much is still owed to them, and we complete the refund on your behalf (Section 8.6). You do not need to issue it yourself, and you should not refund it again.
8.3 When Studio Splitz cancels a paid session. When Studio Splitz cancels a paid session, for example because we suspend or close your studio's account or to correct an error, every payment kept on the booking is refunded to the client in full, Service Fees included, whatever your settings, and the refunded amounts are not paid out to you. When we cancel, we record why, and the reason decides who pays:
- Our own error, or because we stop offering the Services or the part of them you use. Studio Splitz pays the refunded Service Fee and keeps no platform fee on the refund. You are charged only to the extent the refund is covered by money paid out to you for that booking. Any part we cannot recover from money we still hold for the booking or by reversing payouts for it, including an engineer reversal that has to wait or does not succeed, is borne by Studio Splitz and is not charged to your studio balance.
- Any other reason, such as your breach of our Terms of Service or these Payment Terms, your request, or fraud, chargeback abuse or other risk arising from your own conduct or that of your engineers: the refund is treated as if you had cancelled (Section 8.2), and you pay for it, including the Service Fee.
If we suspend or close your account other than for your breach, an amount overdue under Section 9.4, or risk arising from your own conduct (for example, because Stripe restricted your account where you were not in breach), the first bullet applies to the sessions we cancel because of it. If we later find a suspension was our mistake, Section 8.11 applies. A cancellation that our personnel carry out at the client's request after the client confirms it in writing from the email address on the booking is a client cancellation (Section 8.1). One carried out at your or your lead engineer's request, or entered from your account or an engineer's account, is a cancellation by you.
8.4 Changes made without the client's request. When you, an engineer or Studio Splitz move a session to a new date or start time, change its room or length, or change or remove an engineer on it, before it starts, the Services ask whether the client asked for the change, and you must answer truthfully. A change recorded as the studio's own, or with no answer, is treated as one the client did not ask for. We keep a record of every such change, including who made it and how it was recorded, and we email the client and the engineers affected, whatever their email settings, showing how it was recorded. For a change the client did not ask for:
- No price increase. The session's price does not go up. A lower price from the change still applies.
- Full refund if the client cancels. The client may cancel for a full refund, Service Fee included, at your cost, as if you had cancelled (Section 8.2): after a move to a new date or start time, or a change or removal of the lead engineer, at any time before the session starts; after any other change (room, length, or another engineer on the session), before the session starts and within 48 hours after our change email (or after the change, if no email was sent). A later change recorded as requested by the client, including any change the client makes themselves, ends any earlier window; if we uphold the client's dispute of that record, the earlier window is restored, with any 48 hour period counted from our decision.
- Moves and engineer changes the client does not agree to. If the client neither agrees in writing to a move to a new date or start time, or a change or removal of the lead engineer, nor attends, the session is treated as not provided as booked. If the client asks us to review it (Section 6.8), we give you 5 business days to show that the client agreed or attended, and unless we find that they did, we clear the balance and refund the client in full, including the Service Fee (Section 8.6(d)). Because Studio Splitz does not record attendance, keep the client's written agreement to any move or engineer change.
A client may dispute a change recorded as requested by them by emailing support@studiosplitz.com within 48 hours after the change email. We review it with you and the client and decide reasonably and in good faith. If we decide the client did not ask for the change, the client may cancel under this Section within the time it allows, counted from our decision, and before the session starts. If we decide after the session has started or ended, the session is treated as cancelled by you before it started, unless the client attended it as changed, and the client is owed a full refund of every payment kept on the booking, Service Fees included, less anything already refunded, at your cost as Section 8.2 describes, and any unpaid balance is cleared. Recording a change as client requested when it was not is a breach of these Payment Terms. A change Studio Splitz makes at your request, or to correct an error by you or an engineer, is treated as a change by you. If we make a change to correct our own error and the client then cancels under this Section, Section 8.3's first bullet applies. Extending a session already in progress is not a change under this Section (Section 6.9).
8.5 Automatic refunds. Some refunds happen automatically: when a booking request is declined, including a request declined automatically at its start time because it was not approved at least 2 hours before (Section 6.4); when a payment arrives after its booking was released or cancelled, or on a checkout that was replaced; when a paid change cannot be applied; when a client paid more than the final price because the session was shortened or made cheaper before it started; and when a held share is returned after 90 days (Section 7.8). In these automatic refunds, the Service Fee on the refunded payment is refunded in the same proportion as the session price refunded (Section 8.9).
8.6 Refunds we make on your behalf. We may refund a client for one of your sessions on your behalf, without further approval from you, only: (a) where these terms or the Cancellation and Refund Policy require it, including completing a full refund owed under Section 8.2 or 8.4 when the automatic refund did not go through; (b) to correct an error, such as a duplicate charge or an amount charged by mistake; (c) where the law, a court, a regulator or card network rules require it; (d) to resolve a client's complaint that the session was not provided as booked, after we have told you about it by email and given you at least 5 business days to respond; or (e) where we reasonably believe the payment was fraudulent or unauthorized (for example, after the card issuer reports it as fraudulent or sends an alert that a dispute is likely), or where Stripe requires the refund.
- In case (d), we may give you less than 5 business days only if a card issuer, card network or Stripe has already opened an inquiry, pre-dispute notice or fraud warning on that payment, or set a deadline, that would pass sooner. We then tell you the deadline and give you at least 1 business day, or as much time as the deadline allows.
- In case (e), where we can do so without likely leading to a chargeback or breaching card network rules or Stripe's requirements, we tell you first and consider any information you send by the date we give you. If you send credible evidence that the cardholder authorized the payment and the session was provided, we will not refund under case (e) unless card network rules or Stripe require it or we bear the cost ourselves.
- In cases (a) and (d), we consider any response you send and decide in good faith. If, in case (d), we decide that you did not provide the session as booked, we refund the client everything they paid for it, including the Service Fee, except any part you already refunded.
- A refund we make in good faith under this Section is within the authority you give us under Section 6.1, even if you later disagree. We may make it from your dashboard tools or directly through Stripe. If it leaves every payment on an upcoming session refunded in full, the session is cancelled and you are notified.
8.7 How refunds are funded. Every refund, except one Studio Splitz bears under Section 8.3, 8.13 or the last paragraph of this Section, is funded from these sources, in this order:
- Money Studio Splitz still holds for that booking (including money waiting for its release time under Section 7.4). You are not charged for that part.
- Payouts that can be taken back right now. We reverse payouts already made for that booking, to you and to your engineers, in proportion to the part of each payout not already reversed, but only up to what each Stripe account holds at the time. Any part of a payout that has already been sent on to a bank cannot be taken back right now. Engineers are emailed when this happens.
- Credit on your studio balance (Section 9.5).
Refunds you issue yourself are made only once they are covered. A refund you issue (from the session page, through Splitz AI or the setup assistant, or one a Studio Splitz admin or our CTRL Admin support tools issue at your request) is made only when those three sources cover it in full, together with any Service Fee that goes with it under Section 8.9. If they do not, the refund is not made, and we show you the amount missing. Once you pay that amount by card from your dashboard, the refund is made. Your card payment counts as payment to Studio Splitz of your share of the refund, unless it is later reversed, charged back or refunded to you (Section 9.2). Studio Splitz then makes the refund to the client from its own account, as merchant of record. Your future payouts are not used to cover a refund you issue yourself. In rare cases, for example when a payout runs between your card payment and the refund, a small part may still not be covered when the refund is made. That part is charged to your studio balance as an amount you owe and collected as Section 9.3 describes.
Refunds Studio Splitz must make are always made. The refunds in Sections 8.2, 8.3, 8.4 and 8.5, and refunds we make on your behalf under Section 8.6, are made whether or not they are covered. Any part still not covered after the three sources above is your studio's share: it is charged to your studio balance as an amount you owe and collected as Section 9.3 describes, unless these terms say Studio Splitz bears it or we choose to bear it ourselves.
Reversals that have to wait. If part of a payout to an engineer (or to your studio) cannot be taken back right now, that part is counted as your studio's share. We keep trying to reverse it automatically, when the Stripe account holds enough, for up to 90 days. If a later reversal succeeds, we credit that amount to your studio balance. If Stripe recovers any part of a connected account's negative balance from Studio Splitz instead of from the account holder, the amount Stripe recovers from us is an amount you owe under Section 9, and if Stripe later recovers it from the account holder, we credit it back. Recovering an amount from an engineer that we could not reverse is between you and the engineer under your own arrangement.
Refunds of fraudulent or unauthorized payments. A refund under Section 8.6(e) is funded as a chargeback of that payment would be under Section 10.2: you are charged only the part of that payment Studio Splitz no longer holds, and no dispute fee is charged. If we later conclude the payment was not fraudulent or unauthorized, we credit back what was charged to your studio balance for it, unless Stripe required the refund for a reason caused by your studio's own conduct.
Refunds caused by how Studio Splitz works. If we refund a payment under Section 8.6(c), or make a refund Stripe requires under Section 8.6(e), and the requirement results from how Studio Splitz designs, prices, describes or processes payments (including the Service Fee, the statement descriptor, our merchant registration and our checkout pages), from our own breach of the law, Stripe's requirements or card network rules, from an error of Studio Splitz, or from Studio Splitz's own risk profile with Stripe, Studio Splitz bears the whole refund, including the session price, the Service Fee and the platform fee, except to the extent your studio's own conduct caused the requirement. If any of it was taken from you or your engineers first, we credit it back or pay it from our own funds within 30 days after we confirm this paragraph applies.
8.8 Platform fee on refunded payments. When a client gets money back, whether we keep the platform fee on that money depends on how it happens, as set out below. We keep it on some money the client gets back: when a payment already paid out is refunded in full, when a held share is returned to the client under Section 7.8, and when a chargeback is charged to your studio balance under Section 10.2. When a payment is partly refunded, the fee on it is reduced in proportion, and the part of the fee given up helps fund the refund. When a payment is refunded in full before the session's payout, we keep no platform fee on it. If a refund makes a payment refunded in full after it has already been paid out, we keep the platform fee that remained on it, and that amount is charged to your studio balance, except for refunds Studio Splitz bears under Section 8.3 (its first bullet), 8.7 (its last paragraph) or 8.13, and refunds under Section 8.6(b) or (c) that you did not cause. In those cases we keep no platform fee on the refunded amount, and credit back any we charged.
8.9 Service Fee on refunded payments. The Service Fee is refunded only in these cases, and paid for as follows:
| When the Service Fee is refunded | How much | Who pays for it |
|---|---|---|
| You or your lead engineer cancel a paid session, or a client cancels after a change they did not ask for (Sections 8.2 and 8.4) | In full | You |
| Studio Splitz cancels a paid session (Section 8.3) | In full | Studio Splitz for its own error or discontinuation; otherwise you |
| A client cancels and your stored setting is "Refund it too (the studio pays it)", and you refund the payment in full | In full | You |
| A request is declined (including automatically), a payment arrives on a released, cancelled or replaced checkout, or a paid change cannot be applied | In proportion | Studio Splitz |
| A session ends up shorter or cheaper than what the client paid, or a held share is returned after 90 days | In proportion | You |
| We refund under Section 8.6(b) or (c) | In proportion (a duplicate or mistaken charge returns the whole mistaken amount) | Studio Splitz, unless you caused the error or requirement |
| We refund under Section 8.6(d) or (e), remove a charge for extra time the client did not agree to, or refund after a client's request to cancel in another allowed way (Section 6.8) | In proportion | You, unless Section 8.7's last paragraph applies or the client could not cancel because the Services were unavailable, in which case Studio Splitz |
| Studio Splitz bears a refund under Section 8.13 (our personnel or systems made it in error) | In full or in proportion | Studio Splitz |
A dispute decided for the cardholder is not a refund under this table. The Service Fee part of it is part of the disputed amount charged to your studio balance under Section 10.2, unless Section 10.7 applies, in which case Studio Splitz bears it. In every other case, the Service Fee is not refunded. A Service Fee charged to you is added to your studio balance, unless we choose to bear it. The Service Fee refunded is never more than the fee actually charged on that payment.
8.10 Limits, timing and returned refunds. A refund cannot be more than the session price paid in that payment, minus earlier refunds of it, plus that payment's Service Fee where Section 8.9 provides for its refund, unless the law, a court, a regulator or card network rules require more. Refunds go back to the client's original payment method and usually arrive within 5 to 10 business days. If a client's bank sends a refund back to us after it was made (for example, because the card account was closed), we email the client, hold the amount for the client and refund the client another way. You and your engineers are not charged again, and the amount is not returned to your studio balance. Do not refund a payment that is under dispute (Section 10.4).
8.11 Cancellations while your studio is suspended. If a client cancels an upcoming session while your studio account is suspended, we record the cancellation for you. As with any client cancellation, nothing is refunded at the time. Money the booking keeps is held while the suspension lasts. If we lift the suspension before the session's scheduled start, you decide any refund as for any client cancellation, and the money the booking keeps is paid to you under Section 7.7. If the session's scheduled start passes while the suspension lasts, or we close your studio, every payment still kept on the booking is refunded to the client in full, Service Fees included, and who pays follows Section 8.3. If we later find that a suspension was our mistake, we credit back anything charged to your studio balance or reversed from your payouts for refunds under this Section or Section 8.3, and, for each upcoming session a client cancelled during that suspension that was refunded in full because of it, we pay you from our own funds the part of the refunded session price that the suggested refund in the Cancellation and Refund Policy would not have refunded had the client cancelled at the same time while your account was active, less anything you received from that client for the same session or a replacement session. To receive it, email support@studiosplitz.com within 60 days after we tell you the suspension was our mistake, listing the bookings. We pay it to your studio balance within 30 days after we receive your request and any information we reasonably ask for.
8.12 Goodwill refunds lower the session price. A refund that you, or we on your behalf, choose to give on a session that has not been cancelled or declined lowers that session's price by the amount refunded, so the client is not asked to pay it back as a balance. Automatic refunds do not lower the session price, except a held share refunded under Section 7.8.
8.13 Refunds and cancellations our personnel or systems make in error. If our personnel refund a client in error (a refund you did not ask for and that Section 8.6 does not allow), if our systems make a refund in error (for example, because of a fault in the Services, a refund that Section 8.5 or another part of these terms does not call for), or if our personnel or systems cancel a session by mistake or without a request from the client, you or the lead engineer and without a reason these terms give us, Studio Splitz bears the full cost, including any Service Fee refunded. It is not funded from money held for the booking, from payouts to you or your engineers, or from your studio balance; no platform fee is kept on it or charged to you; and it does not lower the session price. If any part was taken from you or your engineers before we confirmed the error, then within 30 days after we confirm it we credit that amount back to your studio balance, or pay it from our own funds, so that each of you receives what you would have received without the error. We do not ask the client to repay a refund our personnel gave in error.
9. Amounts you owe and your studio balance
9.1 Your studio balance. Your dashboard shows any amount your studio owes Studio Splitz, the sessions it comes from, any credit, and a full history of charges and credits.
9.2 What creates an amount owed. Amounts are charged to your studio balance for:
- your studio's share of a refund that Studio Splitz must make and that the sources in Section 8.7 did not cover, and any small part of a refund you issued that was left uncovered as Section 8.7 describes;
- an engineer's or your own payout reversal that has to wait (Section 8.7), until it is recovered and credited back;
- Service Fees refunded to clients that are charged to you (Section 8.9);
- the platform fee kept when a payment already paid out is refunded in full (Section 8.8);
- chargebacks and open disputes (Section 10);
- any amount Stripe recovers from Studio Splitz because a connected account for one of your sessions went negative (Section 8.7);
- taxes we are required to collect on our fees to you that were not deducted from a payment (Section 14.1), and taxes assessed on Studio Splitz for your sessions that you were responsible for, only after the notice and review in Section 14.2;
- any fine, assessment or penalty that Stripe or a card network charges Studio Splitz, to the extent caused by your studio's breach of these terms or our Terms of Service, by fraud you or anyone on your team took part in, or by disputes or fraud on your sessions' payments that result from the acts or omissions of your studio or its team. This never includes any part that results from how Studio Splitz designs, prices, describes or processes payments, from our own breach or error, or from dispute or fraud levels across Studio Splitz as a whole except to the extent your studio caused them. Where a fine relates to payments for more than one studio, we charge only your proportionate share, and for a program based on dispute or fraud levels, only if your studio's own levels for that period were above the program's limits. Before we charge any amount under this bullet, we email you a copy or description of the notice and how we worked out your share and give you at least 14 days to tell us why it should not be charged, and we consider your response in good faith. If you dispute it in that time, we do not withhold it from your payouts or charge it to your card while we review your dispute, unless it results from fraud by you or anyone on your team;
- any amount you owe us under the indemnity in our Terms of Service, once you have agreed to it in writing or a court or arbitrator has decided it;
- any card payment you made to Studio Splitz (to settle your studio balance, to cover a refund, or collected under Section 9.3) that is later reversed, charged back or refunded to you, except a refund because you paid more than you owed or we charged you in error, together with Stripe's dispute fee if you disputed it, unless it was not authorized by you or anyone on your team or we charged you in error;
- any plan charge you dispute with your card issuer, once the dispute is decided for the cardholder, together with Stripe's dispute fee, unless the charge was not authorized by you or anyone on your team, we charged you in error (including after a cancellation that should have stopped it), or the law gives you the right to that money back. If you believe a plan charge is wrong, please contact us first (Section 15); and
- corrections of payout errors (Section 15) and any other amount these terms say is charged to your studio balance.
We collect these amounts only from the business or individual that owes them and from payouts to a related engineer account (Section 2), never from any other engineer's share. A claim against us that is still pending, or an amount not yet charged to us, does not create an amount owed. An amount added to your studio balance because a card payment you made to Studio Splitz, including a plan charge, was charged back or decided for the cardholder in a dispute is collected only from your studio's own share of payouts, or by a payment you choose to make. We never charge it automatically to any card.
9.3 How amounts owed are collected. You authorize Studio Splitz to collect amounts you owe in these ways:
- From your future payouts. We withhold amounts owed from your studio's own share of later payouts, including deposit payouts, until the amount is paid. If the same business or individual (the same legal entity) holds more than one studio account in its own name, we may withhold an amount owed on one of them from the studio's own share of payouts on the others, after telling you by email at least 5 days in advance. We never withhold one business's or person's payouts for an amount a different business or person owes, except a related engineer account (Section 2), and never take any other engineer's share.
- From the card saved for your plan. If you have accepted a version of these Payment Terms that includes this authorization, and part of what your studio owes is still unpaid 7 days after it arose, we may charge the card saved for your Studio Splitz plan for the part of your balance that has been owed for at least 7 days, up to $500. In these Payment Terms, "the card saved for your plan" means the default card on your Studio Splitz plan, or if there is none, the default card saved to your studio's Studio Splitz billing account. It includes the last such card saved, even after your paid plan is cancelled or ends and your studio is on Starter. You can remove that card or withdraw this authorization at any time by contacting support. If part of it is still unpaid 30 days after it arose, we may charge that card once more for the part owed for at least 30 days, up to $500. Each of these charges is made only once. These days are counted only from the last time your studio balance was zero or in credit, and not from before you accepted that version. An amount that arose more recently is collected in the other ways in this Section until it has been owed that long. We never charge to a card an amount described in the last paragraph of Section 9.2. We email you after each attempt, saying what was charged or that the charge did not go through. Anything charged beyond what your studio still owes when the charge lands is refunded to the card. The amount owed can include a chargeback for a dispute that is still open; if the dispute is later decided in your favor, the amount is credited to your studio balance (Sections 9.5 and 10.3). A charge that does not go through, or needs you to authenticate it, is cancelled, and the amount stays owed and is collected from your payouts or paid by you. By accepting these Payment Terms, you authorize Studio Splitz and Stripe to make these charges to the card saved for your plan. We make them only if you have accepted a version of these Payment Terms that includes this authorization, and you can withdraw it at any time by contacting support, in which case amounts owed are collected in the other ways in this Section.
- By reversing payouts. In the situations listed in Section 7.13.
- Through Stripe. Where a reversal leaves your Stripe account negative, Stripe may recover it as Section 5.5 describes.
- By card at any time. You can pay all or part of what you owe at any time from your dashboard, with a minimum card payment of $0.50. No Service Fee is added. Anything you pay beyond what you still owe when the payment lands is refunded to your card. A card payment reduces what you owe only while it stands (Section 9.2).
- Reminders. If your studio keeps owing money, we email you reminders about 7 days and 30 days after the first unpaid amount arose (counted from the last time your studio balance was zero or in credit). Each reminder shows the total your studio then owes.
We do not charge interest or late fees on amounts owed. You cannot close your studio account while you owe Studio Splitz money. If an amount stays unpaid, we may also take other lawful steps to recover it.
9.4 Overdue amounts. An amount owed is overdue only if it is still unpaid 30 days after the first reminder we email you about it, and your studio's own share of pending payouts will not cover it. None of the following is overdue while it lasts: an amount charged for a dispute that has not been decided (Section 10); a fine, assessment, penalty or tax that you disputed in time, while we review it; and an amount you reported as an error under Section 15.1, while we look into it. Before we suspend or close your studio account because an amount is overdue, we email you at least 14 days in advance with the amount and how to pay it, and we will not do so if, within that time, you pay it or agree a payment plan with us in writing. This does not limit our other rights to suspend or close an account under our Terms of Service.
9.5 Credit on your studio balance. Your studio balance can show a credit, for example when a chargeback charged to you is decided in your favor, or when a reversal that was charged to you succeeds later. Any part of a card payment you make to Studio Splitz that is not needed for what it was paying for, including a payment for a refund that cannot be issued, is refunded to that card. It is not added to your credit and is not paid out to your Stripe account. A credit is used automatically toward your studio's share of later refunds and any amount your studio owes. It cannot be transferred to another studio or person. You can ask us at any time to pay out your credit by contacting us (Section 19). Within 30 days after your request, we pay the credit, less any amount your studio then owes, to the Stripe account connected to your studio, once that account can receive it and your account is not suspended. While your account is suspended, we hold your credit, because it can still be needed for refunds, chargebacks and amounts your studio owes on any of your sessions. This hold has a limit. Once 120 days have passed since the latest client payment to your studio, and no dispute or chargeback is open on any payment to your studio, we pay out your credit when you ask, even if the suspension has not ended. We keep back only a reserve we reasonably need for refunds and chargebacks that can still arise. The 120 days become 180 only if we email you before day 120 that our review of suspected fraud, an unauthorized payment or a breach is not finished. The hold also continues while the law, a court order, a request from law enforcement or a government authority, or Stripe or card network rules require it, and then only until that ends. A client balance paid during the suspension (Section 17.1) counts as a client payment for this limit. This Section, not the per-session limit in Section 7.11, sets the time limit for holding credit. Once paid out, it can no longer fund refunds. If your account closes while it holds a credit, we first use it toward any amount you still owe and keep it available for refunds and chargebacks that can still arise from payments made before closure (normally until 120 days after your last client payment, unless a dispute is still open), and then pay out what remains. If we cannot pay it out, we will contact you and, if we cannot reach you, handle it as unclaimed property law requires. A credit is never forfeited.
9.6 Write offs. We may choose to forgive all or part of an amount you owe. Doing so once does not oblige us to do so again.
10. Disputes and chargebacks
10.1 Our role. Because Studio Splitz is the merchant of record for client payments, a client's dispute with their card issuer (a chargeback) is opened against Studio Splitz, and we manage the response. We decide reasonably and in good faith whether to accept a dispute or submit evidence, and we consider the records and information you give us. You must cooperate, including by giving us the booking records, communications, proof that the session took place and any other information we ask for, by the date we give you. If you do not, we may accept the dispute. If your account is suspended or closed, you can ask us for the records you need under Section 17.4.
10.2 When a dispute opens. We email you, whatever your email settings, the disputed amount, the reason, the date evidence is due, and the amount charged to your studio balance. The disputed payment is left out of all payouts from then on. The disputed amount, less any part of that payment that Studio Splitz still holds and has not paid out, is charged to your studio balance. The part still held includes shares of that payment held under Section 7.8 or waiting for a release time, in proportion to that payment's part of what the booking collected, even after the session's other payouts have run. A refund made on the payment before the dispute opened does not count as money still held, so if the payment was already refunded, the whole disputed amount (less any part still held) is still charged, because the card network takes the full disputed amount from Studio Splitz even when a refund was issued. Because payouts already made to engineers are not reversed for chargebacks (except as Section 11.4 items 6 and 7 allow), this can include amounts paid to your engineers, the platform fee and the Service Fee. If we recover part of a payment from an engineer under Section 11.4 item 6 and your studio funded a refund or chargeback of it, we credit what we recover to your studio balance, up to what your studio funded. If the card issuer only asks for information about a payment (an inquiry) and has not taken the money back, nothing is charged to your studio balance. The payment is left out of payouts until the inquiry closes. We email you when the inquiry opens and when it closes, whatever your email settings. If the inquiry becomes a chargeback, the rest of this section applies from then on, and we email you again.
10.3 When a dispute closes. If the dispute is decided in your favor, or closes without a chargeback, we credit back exactly what was charged to your studio balance for it (Section 9.5), and the money held back is paid out. If it is decided for the cardholder, the payment is treated as refunded in full, the amount stays charged, and shares of that payment Studio Splitz still held are reduced so they are not paid to anyone. A dispute decided for the cardholder does not cancel the booking. If the session has ended, or later ends, with less paid than its price, the charged-back amount is not shown to the client as a balance and is not collected through Studio Splitz. You may pursue it with the client directly, outside Studio Splitz and without using any card payment through the Services.
10.4 Refunds and disputes. Once a dispute is open, the card issuer decides the outcome. Do not refund a disputed payment, because refunding it as well can cost you twice. If the payment was refunded before the dispute opened, we submit the refund to the card issuer as evidence.
10.5 Dispute fees and engineers. Studio Splitz pays Stripe's dispute fees on client payments. Payouts already made to engineers are not reversed for chargebacks, unless the payout went to a related engineer account (Section 2) or we reasonably believe the engineer took part in a fraudulent or unauthorized payment (Section 11.4 item 6). This applies to engineers who are the studio's employees in the same way. An engineer's share of a disputed payment that has not yet been paid is not paid while the dispute is open, and not at all if the dispute is decided for the cardholder.
10.6 Repeated disputes. If your sessions receive an unusual number of disputes, we may contact you, ask you to change your payment terms, or limit online payments for your studio as our Terms of Service allow.
10.7 Disputes caused by Studio Splitz. You are not charged for a dispute, and we credit back anything already charged to your studio balance for it within 30 days after we confirm this Section applies, to the extent the dispute or its loss results from:
- an error by Studio Splitz, such as a duplicate charge or a charge for the wrong amount caused by our systems;
- how Studio Splitz designs, prices, describes or processes payments, including the Service Fee, the statement descriptor, our merchant registration and our checkout pages;
- our own breach of the law, Stripe's requirements or card network rules; or
- our failure to submit, by the issuer's deadline, evidence you gave us by the date we set under Section 10.1.
This Section does not apply to the extent your studio's own conduct caused the dispute or its loss.
Part B. Engineers
11. Engineers: shares and payouts
11.1 Your relationship with Studio Splitz and the studio. Engineers are independent. You are not an employee, agent or contractor of Studio Splitz, and Studio Splitz does not hire you, pay you wages or guarantee you work or income. Your working arrangement, including your pay, is between you and the studio. Studio Splitz's role is to pay you your share of client payments as the studio's split settings direct. Studio Splitz is not a payroll provider and does not withhold employment taxes, issue Forms W-2 or track hours. If you are a studio's employee, the studio is your employer and is responsible for paying any wages it owes you, on time and in full, whether a share is paid, held, reversed or returned to a client through Studio Splitz, including getting any consent the law requires for the adjustments in Section 11.4.
11.2 Your share. Your share of a session is set by the studio's split settings, or by exact amounts set for that booking. The split settings in effect when a booking is made are saved with it. The people on a session can still change before it ends, and that can change your share: the studio owner can add engineers to a session with no payments yet and can take an engineer off a session until it ends; the lead engineer can do the same while the session has no payments; when engineers share a pool equally, the pool is divided among the engineers on the session when its payout is made; and an engineer who is not given an amount under exact amounts receives no share. If you are taken off a session before its payout, you receive no share of that payout, and a deposit share already paid to you is handled as Section 11.4 describes. Depending on the studio's platform fee handling setting (Section 6.6), your percentage is calculated on the full payment or on the payment after the platform fee. Your earnings and payouts are shown in your dashboard. By accepting a studio's invitation and working its sessions, you agree to receive your share as the studio's settings direct, and you authorize Studio Splitz to pay it to your Stripe account. Studio Splitz pays your share on the studio's instruction as the studio's payment collection agent, and is not your agent, trustee or fiduciary. If Studio Splitz has received a client payment and your share of it has not been paid to you, refunded or reversed as these terms allow, Studio Splitz will pay it to your Stripe account once it can be paid, and you may bring a claim against Studio Splitz for that amount. This does not include any part correctly paid out to the studio as the saved settings directed. If we pay any part of your share to someone else because of our own error, we still owe it to you and will pay it as Section 15.4 describes. Any other claim for pay is against the studio.
11.3 When your share is paid.
- Your share is paid only from money clients actually pay for the booking. Studio Splitz does not advance it, except to correct our own error.
- If the booking takes a deposit and the studio's "Deposit goes to" setting includes engineers, part of your share is paid when the deposit is paid. That is a provisional payment toward your final share, settled when the session's payout runs.
- The rest of your share is paid after the session's scheduled end time (Section 7.2), and from any balance when the client pays it.
- While the studio is in its new studio period (Section 7.4), your whole share of a session, including any deposit share, is paid 7 days after the session's scheduled end time, together with the studio's payout, and instant payouts are turned off for you in Studio Splitz.
- If the paying client looks like the studio owner or one of its engineers, your share waits with the studio's until Studio Splitz approves the payout (Section 7.5).
- When Studio Splitz does not hold enough for the booking to pay everyone, engineers are paid before the studio.
- If the studio's "Deposit goes to" setting is "studio", your share of the deposit is paid only from money Studio Splitz still holds when the session's payout runs. If a client never pays a balance, no share of it is paid through Studio Splitz, and any claim is against the studio.
11.4 Shares that can be taken back. You authorize Studio Splitz, and Stripe on our instruction, to reverse all or part of a payout made to you for a booking in these situations:
- Refunds. When a client is refunded, payouts already made for that booking are reduced in proportion. We reverse only what your Stripe account holds at the time; any part we cannot reverse then, we may reverse later, automatically, when your account holds enough, for up to 90 days.
- Corrections when the final price changes. If you received a provisional deposit share and the session's final price turns out lower, the difference is reversed. We email you the reason.
- Corrections when you are taken off a session. If you are taken off a session after receiving a provisional deposit share, your final share is zero, unless the studio's setting for an engineer taken off a session who already got a deposit share is "Let the engineer keep it" when you are taken off. If it is "Return it to the studio", the deposit share is reversed and paid out under the split to the studio and the engineers then working the session. We email you either way.
- Failed payouts. If any transfer in a payout fails, every transfer already made in that payout is reversed, including yours, and retried (Section 7.10). Until it is paid, your share stays owed to you.
- Errors. To correct a payout error (Section 15).
- Fraud you took part in. If we reasonably believe you took part in, or knowingly benefited from, a fraudulent or unauthorized payment, or a payment taken for a session that you or the studio did not intend to provide, we may reverse payouts made to you from that payment to fund a chargeback on it, or, if no dispute has been opened, only to refund it to the cardholder or to hold the amount while we look into it. We tell you the reason, and you may respond to support@studiosplitz.com, unless the law or a fraud investigation prevents it. An amount held under this item is a hold under Section 7.11, including its time limit, and if we conclude you did not take part, or the hold ends without a refund or chargeback, we pay it back to your Stripe account. Money reversed under this item is used only to fund the refund or chargeback of that payment, or to repay the studio to the extent it funded them. We never keep it for ourselves.
- Related engineer accounts. If your account is a related engineer account (Section 2), payouts to you may be reversed, held or withheld in the same situations as payouts to the studio, after the notice that Section 2 requires.
We take back money only by reversing a payout made to you for that same booking, and never by more than that payout less earlier reversals (except under item 6 where the fraud involved more than one booking). A reversal is taken from the balance of your Stripe account. If that leaves your Stripe account negative, Stripe may recover it from later money sent to your Stripe account (including your shares of other sessions) or by debiting the bank account linked to it (Section 5.5). Except as items 6 and 7 allow, Studio Splitz does not bill you or collect from you to recover a payout, refund, chargeback or payout error, and you will not carry a debt balance with Studio Splitz for any of them. This does not limit your obligations under our Terms of Service or any amount a court or arbitrator orders. A chargeback does not reverse a payout already made to you unless item 6 or 7 applies. A reversal adjusts a transfer of client money for that booking. It is not a deduction from your wages and does not reduce what a studio owes you. Every reversal appears in your payouts in your dashboard, and your authorization does not depend on receiving an email about it.
11.5 Your Stripe account and held shares. Payouts go to your own Stripe account (Section 5). If your account cannot receive payouts, your share is held, and we email you reminders while it is held. If it is still held after 90 days, it may be refunded to the client, and after that Studio Splitz no longer pays it (Section 7.8). That does not end any obligation the studio has to you. You can fix your Stripe account directly with Stripe, and the held share is then paid to you instead of being refunded. If you can no longer sign in to Studio Splitz (for example, because a studio removed you from its team or your account was suspended or closed) and the fix needs you to sign in, email support@studiosplitz.com from the email address on your account at least 14 days before the refund date shown in our reminders, and the steps and our promise in Section 7.8 apply to you. If we close your engineer account ourselves while a client still owes a balance on a session you worked, our closure notice will tell you so, and you can later email us from the address that was on your account to ask whether a share is held for you; we will tell you the amount and the refund date.
11.6 Holds and disputes. Payouts of your share follow the same rules as the studio's payouts. A payout never exceeds what Studio Splitz holds for the booking. You receive no share of money kept on a cancelled session, but keep any deposit share already paid to you, subject to Section 11.4. Your share can be put on hold for review (Section 7.9), or held for the reasons in Section 7.11 that concern you or that payment, including while your own engineer account is suspended. A hold while your account is suspended follows the time limits in Section 7.11, and when it ends, we pay you what remains, whether your account is active, suspended or closed. If we later find that we suspended your account by mistake, we pay your held shares within 5 business days after we tell you, and Section 7.8 applies to any share refunded to a client because of that suspension. Your studio's suspension, or amounts your studio owes us, do not on their own hold your share, unless your account is a related engineer account. A disputed payment is left out of all payouts, including your share, until the dispute closes. If the dispute is decided in the studio's favor, or closes without a chargeback, your share is paid. If it is decided for the cardholder, no share of that payment is paid. We do not email engineers when a dispute opens or closes, so if your share has not arrived, ask the studio or contact us and we will tell you whether a dispute or hold is the reason. A hold delays your share. It does not cancel it, except where these terms say the share is not paid or is refunded to the client.
11.7 Closing your account. You cannot close your engineer account while payouts are still on their way to you. You can close it while a client still owes a balance on a completed session you worked. If that client pays later, your share is still paid to the Stripe account connected to your engineer account, but because closing replaces your email address, we cannot send you reminders about a share held after closure. To be sure of receiving those shares, keep your Stripe account able to receive payouts, or wait until clients have paid before you close your account.
11.8 Taxes. You are responsible for your own taxes on the shares you receive. Section 14 explains tax reporting.
Part C. Clients
12. Clients: paying for a session
12.1 Who you are paying. Your agreement for a session is with the studio. Studio Splitz (CTRL Music Platforms LLC) accepts your payment for the session on the studio's behalf, as the studio's limited payment collection agent. When Studio Splitz receives your payment of the session price, you have paid the studio that amount. The studio is responsible for providing the session. The Service Fee is charged by Studio Splitz for its own account.
12.2 What you are charged.
- The session price, set by the studio: usually the length of your session multiplied by the hourly rate for your room, using any length based rate that applies, or a custom price the studio sets. The price is locked when the booking is made. If the length or room changes, the price is worked out again (Section 6.2). Sessions are priced for the actual time that passes, so a session that crosses a daylight saving time change can be an hour shorter or longer than the clock times suggest.
- The Service Fee, charged by Studio Splitz on every payment for a session (deposits, full payments, balances and paid changes) for use of the Studio Splitz booking and payment service. It is shown before you pay and is the same whatever card or wallet you use. It is not a card fee. Before your first payment, the booking page shows the Service Fee and the total you will pay for the whole booking, including the Service Fee on any later balance, and the exact amount is shown again before each payment. If we change the Service Fee after you book, the change does not apply to your booking unless the law requires it or it lowers your Service Fee.
Prices shown for rooms and sessions include the Service Fee. Studio Splitz does not add any other fee to your payment. Studio Splitz does not add sales tax or other taxes to session payments; any tax the studio owes on its services is included in its price. If the law ever requires Studio Splitz to collect a tax on your payment itself, it will be shown separately before you pay.
12.3 When you pay. The studio's payment terms are shown when you book:
- Full payment upfront: you pay the whole session price when you book.
- Deposit: you pay a deposit when you book and the rest later.
- Pay after the session: nothing is charged when you book, and you are emailed the amount due when the session ends.
If the studio reviews requests first, nothing is charged until your request is approved. A request can be approved only until 2 hours before its start time; if it has not been approved by then, it is declined automatically at its start time, and everything you paid toward it, including the Service Fee, is refunded automatically. We email you whenever a request is approved, whatever your email settings. An approved request is a confirmed booking even before you pay, and it is not released if you do not pay. Studio Splitz does not record attendance, so if you do not cancel before the session starts, it is treated as having taken place and the full price, less anything you paid, is due when it ends. If you are paying at booking, complete checkout within about 30 minutes, or the booking is released. If the studio booked a session for you, you may receive a payment link that must be used within the same time.
Before you book or send a request, and above each pay button on your session page, Studio Splitz shows a short summary of the cancellation terms for your booking, and you must tick the box described in Section 1.4. The summary is repeated in the email approving your request, in the emails we send if the studio booked the session for you, in payment emails, and on the Stripe checkout page for a booking, deposit or balance.
12.4 Deposits and balances. A deposit is part of the session price, not an extra charge. You can pay the rest from your session page at any time, and you are emailed any amount still due when the session ends. Whether a deposit is refunded if you cancel is decided by the studio.
12.5 Paying and authorizing the charge. You pay on Stripe's checkout page by credit or debit card, including through a card wallet such as Apple Pay or Google Pay where Stripe offers it. Other payment methods are not accepted. Your bank may ask you to confirm the payment with 3D Secure. By completing checkout, you authorize the charge of the total shown. Your card details are entered with Stripe and are not received or stored by Studio Splitz. Studio Splitz does not save your payment details and cannot charge you later unless you complete another checkout yourself. If Stripe offers to save your details in Link, its own service, Link is governed by Stripe's terms, and Studio Splitz still cannot use it to charge you.
12.6 Changes to your session.
- If you make your session longer, its price goes up. If the studio's payment terms require payment before the session, you pay the extra amount at checkout before the change applies. Otherwise the increase is added to what you pay later. If a paid change cannot be applied, the extra payment is refunded automatically, with its Service Fee.
- If your session ends up shorter or cheaper than what you paid, the difference, with the matching part of the Service Fee, is refunded automatically after the session ends. Shortening a session is not a cancellation.
- If the studio, an engineer or Studio Splitz moves your session to a new date or start time, changes its room or length, or changes or removes an engineer, they record whether you asked for the change, and we email you showing how it was recorded. If you did not ask for it, the price does not go up, and you can cancel for a full refund, Service Fee included: after a move to a new date or start time, or a change or removal of the lead engineer, at any time before the session starts; after any other change (room, length, or another engineer on the session), before the session starts and within 48 hours after our change email. If you later change the session yourself, or a later change is recorded as requested by you, that ends the earlier window. If a change was wrongly recorded as requested by you, email support@studiosplitz.com within 48 hours after the change email, as the next point describes, and if we agree, the window is restored, with any 48 hour period counted from our decision. A move or lead engineer change you did not ask for binds you only if you agree to it in writing or attend; if you do neither, you do not owe for that session and are owed a full refund of what you paid, including the Service Fee.
- If the change was recorded as requested by you and that is wrong, email support@studiosplitz.com within 48 hours after the change email. We review it with you and the studio, decide reasonably and in good faith, and if we find you did not ask for it, you may cancel for a full refund within the time above, counted from our decision. If we decide after the session that you did not ask for it and you did not attend it as changed, you are owed a full refund of everything you paid for that session, including the Service Fee, less anything already refunded, and any balance is cleared.
- If the studio extends your session while it is running, the extra time is added to your balance when it is recorded, unless the studio chooses not to charge for it. You do not owe the charge for extra time you did not ask for or agree to (Section 12.7).
12.7 Unpaid balances and billing reviews. You must pay any balance for a session you booked or agreed to, except an amount you already paid the studio directly or that the studio has released. Until it is paid, you cannot book that studio again, you cannot download the studio's files for that session, and, unless the balance is under review, you cannot close your account. Studio Splitz does not charge late fees. The studio may send you a limited number of payment reminders, no more than one every 3 days and 5 for each balance. If you ask us to stop balance reminders, the studio can send one last reminder and then no more.
If you believe you do not owe a balance, or should be refunded, for example because a booking was made in your name without your agreement, the studio did not provide the session, the session was moved or its lead engineer changed without your request and you neither agreed nor attended, extra time was added that you did not ask for or agree to, you asked in time to cancel in another way the Cancellation and Refund Policy allows, or you paid the studio directly, email support@studiosplitz.com with "Billing" in the subject line, the studio name and the session date (and, for a direct payment, the amount, date and method, with any receipt). While we look into it, reminders for that balance are paused and the balance does not stop you from closing your account. We give the studio at least 5 business days to respond and decide in good faith on what you and the studio send us. If we decide that the booking was made without your agreement or the studio did not provide the session as booked, we clear the balance and refund everything you paid for that session, including the Service Fee, except any part the studio already refunded. If we decide only that you did not agree to extra time, we remove that charge or refund it with its Service Fee. If the studio confirms a direct payment, or does not give us credible information that you did not pay, we clear the amount you show you paid. Our decision does not settle what you owe the studio under the law, and the studio may still contact you directly in a lawful way. A request to cancel made in another way has no effect if you attended or used any part of the session after sending it, and you must contact us within 60 days after the session's scheduled start time.
12.8 Receipts and your card statement. After you pay, your booking confirmation email shows the amount paid, the Service Fee and any balance still due, and Stripe may also email you a receipt. Your session page shows your payments and refunds. Your card statement shows the charge under the name Studio Splitz or our company name, CTRL Music Platforms, not under the studio's name. If you do not recognize a charge, please contact support@studiosplitz.com before contacting your bank, so we can identify the booking for you.
12.9 Currency. All prices and charges are in US dollars. If your card is issued outside the United States, your bank may charge a currency conversion or foreign transaction fee. That fee is between you and your bank and is not refunded by Studio Splitz or the studio.
12.10 Cancellations and refunds. The Cancellation and Refund Policy explains how cancellations and refunds work. In short:
- You cancel. You can cancel from your session page any time before the session starts. Nothing is refunded automatically: any refund is the studio's decision. The Service Fee is refunded only if the studio's setting stored with your booking says so and the studio refunds that payment in full. The booking page told you both before you booked.
- The studio or its engineer cancels. When the studio or its lead engineer cancels a session you paid for, you are refunded in full automatically, every payment and its Service Fee, even if you asked the studio to cancel. The studio cannot choose to refund less. If the refund does not go through, our cancellation email tells you how much is still owed to you, and if it has not reached you within 3 business days, email support@studiosplitz.com and we will refund you.
- Studio Splitz cancels. When Studio Splitz cancels a session you paid for, you are refunded in full, Service Fee included.
- The studio is suspended. If you cancel an upcoming session while the studio's account is suspended, we record the cancellation and nothing is refunded at the time. If the session's start passes before the suspension is lifted, or we close the studio, you are refunded everything still kept on the booking, Service Fee included. If the suspension is lifted first, the studio decides any refund.
- Automatic refunds. A declined or expired request, a payment on a released or replaced checkout, a paid change that cannot be applied, and a session that ends up shorter or cheaper are refunded automatically, with the matching part of the Service Fee. If part of your payment is refunded because a studio's or engineer's payout account was not ready for 90 days, your session's price is lowered by that amount and you do not owe it again.
Refunds go back to your original payment method and usually arrive within 5 to 10 business days, depending on your bank.
12.11 Refunds your bank sends back. If your bank sends a refund back to us (for example, because the card account was closed), we email you, hold the amount for you, and refund you another way. Reply to that email or write to support@studiosplitz.com. If we cannot reach you, we handle the amount as unclaimed property law requires.
12.12 Problems with a payment and card disputes. If you have a problem with a session or a charge, contact the studio first, and if that does not resolve it, contact us (Section 19). If you dispute a charge with your card issuer, the issuer decides the outcome under card network rules and we respond with the studio's help. Once a dispute is open, the same payment generally cannot also be refunded. If a dispute is decided in your favor, the disputed payment is returned to you and treated as refunded in full, but that does not by itself cancel the booking or decide whether you owe the studio. Studio Splitz will not ask you to pay the returned amount again through Studio Splitz, and it will not limit your bookings or downloads because of it. Any claim the studio has for it is between you and the studio, outside Studio Splitz. If you do not want an upcoming session, cancel it.
12.13 Session files. You can upload files to your session and download the files on it. The studio's files for a session can be downloaded once the session is paid in full. While you can still open the booking, you can delete files you uploaded, whatever its status, including on a cancelled or declined booking. Files stay until the person who uploaded them or the studio owner deletes them, except that files remaining at a closed studio are deleted on the schedule in Section 19.3 of our Terms of Service. They are not removed automatically when a session ends or when a client or engineer account closes. If a studio closes, or we suspend or close it, you can ask us for copies or deletion of your files as Section 19.3 of our Terms of Service describes. Studio Splitz staff can access files when needed for support, security or legal reasons. Our Terms of Service explain your rights in the files you upload.
12.14 Your payment information. Studio Splitz does not receive or store your card number. We keep records of your payments and refunds, the card fingerprint Stripe gives us (Section 3.5), your sign-in device data (IP address and browser or device type), and the record of each time you accepted our terms (Section 1.4). We use them to run your bookings and payments, to answer disputes and billing questions, and to prevent fraud, including checking whether a payment looks like it was made by the studio itself. Our Privacy Policy explains what we collect, who we share it with (including Stripe and the studio you book with) and how long we keep it.
Part D. Everyone
13. Promotions and promo codes
13.1 Session discounts. Client checkout does not accept promo codes. Any discount on a session comes from the studio, for example a custom price, length based rates, a goodwill refund, or choosing not to charge for extra time. Each studio is responsible for honoring the offers it makes to its clients and for making them lawfully.
13.2 Plan discounts. We may offer discounts on paid plans, which we apply at checkout or to your subscription. The terms of each discount, including how long it lasts and the regular price afterward, are shown before you confirm. Unless we say otherwise, a discount is limited to one per studio, cannot be combined with other offers, has no cash value, cannot be transferred, and ends after the period stated, when the regular price applies. We may end an offer at any time, but we will not take away a discount already applied to your plan before its stated period ends.
14. Taxes and tax reporting
14.1 Plan prices and platform fees. Plan prices, platform fees and other fees we charge studios do not include taxes. If the law requires us to collect a tax on any of them, we will add it. For plan charges, the tax is shown on your invoice or at checkout. For platform fees, we deduct the tax from the payment with the platform fee and show it in your payment records, and we will tell you by email at least 30 days before we start, unless the law requires us to start sooner. You authorize those deductions. Any such tax we could not deduct is charged to your studio balance.
14.2 Studios. Unless we tell you otherwise or the law requires Studio Splitz to collect a tax itself, you are responsible for working out, collecting through your prices, reporting and paying any taxes on your sessions, and for your own income taxes. If the law requires Studio Splitz to collect a tax on your sessions (for example, under a marketplace facilitator law), we may add it to client payments for your sessions, collect it and pay it to the tax authority, and you will give us the information we reasonably need. If a tax authority assesses Studio Splitz for a tax on your sessions that you were responsible for, we may charge that tax, and any interest and penalties, to your studio balance, but only after we email you a copy or description of the assessment and how we worked out your part, and give you at least 14 days to show us that you already paid it or were not responsible for it. We consider your response in good faith, do not charge tax you show you already paid, and do not withhold a disputed amount from your payouts or charge it to your card while we review it. We do not charge you interest or penalties that result from our own delay, or any tax for a period in which the law made Studio Splitz responsible for collecting it.
14.3 Engineers. You are responsible for your own taxes on the shares you receive.
14.4 Tax information and reporting. Studio owners and engineers must give accurate tax identity information during Stripe onboarding and keep it current. You agree that Studio Splitz and Stripe may report payments made to you to tax authorities as the law requires (for example, on IRS Form 1099-K). We send your tax forms electronically only if you have separately agreed to electronic delivery when asked (for example, in your Stripe account); otherwise we mail a paper copy to the address you gave during onboarding. We may withhold any amount the law requires us to withhold, and may hold payouts until your tax information is complete.
14.5 No tax advice. Studio Splitz does not give tax advice. Please speak to a tax professional about your situation.
15. Billing and payout errors
15.1 Tell us about errors. If you believe a charge, a payout or an amount on your studio balance is wrong, contact us (Section 19) within 60 days after it appears, with the date, the amount and the booking or plan it relates to. We will look into it and correct any error we confirm.
15.2 Errors that favored you. If we pay a studio more than it is owed, or charge it less than it owes, we may correct it by reversing the payout that was too high, withholding the difference from future payouts, charging it to the studio balance or, for plan charges, adding it to the next invoice, and we tell you when we do. For engineers, we correct an overpayment only by reversing the payout that was too high (Section 11.4).
15.3 Time limit. If you do not tell us about an error within 60 days, we may not be able to correct it, except where the law gives you more time. This does not limit your rights under the law or with your card issuer. It does not apply to a payout that failed or was held and never paid to you, which we still pay once your account can receive it unless it was refunded or reversed as these terms allow, or to an error by Studio Splitz that caused you to be underpaid.
15.4 Our own errors. If an error by Studio Splitz (for example, applying the wrong split settings or paying a share to the wrong account) causes a studio or engineer to receive less than these terms say they are owed from money a client paid, we will pay the shortfall once we confirm the error and the recipient's Stripe account can receive it. We may first try to recover it from whoever received it. If we cannot within 30 days after we confirm the error, we pay it from our own funds. This Section does not apply to a refund or cancellation Section 8.13 covers, which Studio Splitz bears from the start. This Section does not allow us to seek repayment from a client of a refund our personnel gave in error.
16. Practice studios
Some studios are set up as practice studios to try Studio Splitz. A practice studio's pages show "Practice account: test payments only". Payments at practice studios run in Stripe's test mode: no real money is charged, paid out or refunded, no real session is purchased, and the payout protections in Sections 7.4 and 7.5 do not apply.
17. Suspension, account closure and what continues
17.1 While a studio is suspended. While a studio account is suspended, its public pages go offline and it cannot take new bookings or payments. Clients can still pay balances for sessions that took place before the suspension began, and each engineer's share of those payments is paid under Section 11. For sessions that had not taken place when the suspension began and that we do not cancel, payments are stopped while the suspension lasts, so no deposit or balance for them is due through Studio Splitz during that time, and such an amount does not stop a client from closing their account. We continue to complete payouts for sessions booked before the suspension, subject to Sections 7.8 to 7.11, 9.3, 10 and 11.4, and we may make refunds and handle disputes for them. We hold the studio's own share while the suspension lasts, keeping back only what we reasonably need to cover refunds, chargebacks and amounts the studio owes. We pay out what remains, minus amounts owed, within the time limits in Section 7.11. Credit on the studio balance is held as Section 9.5 describes. An engineer who is removed from a team keeps their share of sessions that took place before the removal.
17.2 Before you close your account. A studio must cancel any paid plan, complete or cancel its upcoming sessions, wait for clients to pay their balances or tell us that a client paid outside Studio Splitz or that the studio releases the balance (Section 6.11), pay any amount it owes Studio Splitz, and wait for payouts still on their way to it or its engineers. Any credit is handled as Section 9.5 describes. An engineer must wait for payouts still on their way (Section 11.7). A client must pay any unpaid balance, except a balance under review or an amount Section 17.1 says is not due.
17.3 What continues after closure. Your responsibility for refunds, chargebacks and amounts owed relating to payments made before your account closed continues after it closes, because chargebacks can be opened months after a payment. We keep payment records as our Privacy Policy describes, and after your account closes we send notices about these amounts as our Terms of Service describe.
17.4 Records while you cannot sign in. If your studio account is suspended, or we have closed it, you can ask us for records you need to respond to a dispute, a billing review, a refund request or a charge to your studio balance. Email support@studiosplitz.com from the email address the studio owner signs in with, naming the session. Within 5 business days we will send you copies of the booking, payment, change, message and file records we hold for that session, unless the law, a legal order, card network rules or Stripe's requirements forbid it. If we closed your studio other than for fraud, a serious breach or a legal requirement, then within 30 days after closure you can also ask for a list of balances still unpaid for sessions that took place, with each client's name and the email address on the booking, so that you can pursue them lawfully. If you ask for records under this Section, any deadline for you to respond under Sections 6.8, 8.6 or 10.1 is extended until 5 business days after we send them, except where a card issuer, card network or Stripe deadline does not allow it, in which case we submit the records we hold ourselves.
18. Changes to these Payment Terms
We may update these Payment Terms. When we do, we post the updated version here with a revised "Last updated" date, and studio owners and engineers are asked to accept it as Section 1.4 describes. Because these Payment Terms are part of our Terms of Service, changes take effect as the Terms of Service describe. If a change is material and reduces your rights or increases your obligations (for example, a change to holds, chargeback responsibility, collection of amounts owed, reversals or when held funds are refunded to clients), we tell you at least 30 days before it takes effect, by email to the address on your account (for a studio, the email address the studio owner signs in with and, if different, the contact email in your studio profile), and we may also show the notice in your dashboard. The changes listed in Section 4.7 follow the notice described there. Changes required by law, by Stripe or by card network rules, and changes reasonably necessary to address a specific security or fraud risk, may take effect sooner. Changes do not affect payments whose checkout opened before the change takes effect, the payment terms and settings already stored with a booking, or the Service Fee that applies to a booking under Section 6.7. If you do not agree, stop using Studio Splitz before the change takes effect: do not make or accept new bookings and, if you are a studio, cancel your paid plan. You may also object as our Terms of Service describe. If you do, signing in only to wind down bookings made before the change (cancelling or completing them, refunding, paying or collecting amounts owed, responding to disputes, cancelling your plan or closing your account) does not make the change apply to you, and those bookings stay under the version that applied to you before the change.
